Item 1.01 Entry into a Material Definitive Agreement.

On October 2, 2020, Comstock Mining Inc. (the “Company”) received a redemption notice from Tonogold Resources Inc. (“Tonogold”), notifying the Company of its intention to redeem the remaining $2,180,000 (face value) of the Series D Convertible Participating Non-Cumulative Perpetual Preferred Stock ("CPS") issued by Tonogold and held by the Company. In accordance with the terms of the CPS, the redemption price equals $2,616,000, representing 120% of the face value of the CPS. The redemption price was wired to the Company on the date of the redemption notice.
