Section 1 – Registrant’s Business and Operations

ITEM 1.01 – Entry into a Material Definitive Agreement

On July 27, 2011, The Eastern Company executed an amendment to the Employment Agreement (the “Agreement”) with the Company’s Chairman, President and Chief Executive Officer, Leonard F. Leganza.  The amendment extends the term of the Agreement to December 31, 2012.

A copy of the amendment to the Agreement is attached as Exhibit 99.

Section 5 – Corporate Governance and Management

ITEM 5.02 – (e) Compensatory Arrangements of Certain Officers

On July 27, 2011, the Company extended the term of the Agreement to December 31, 2012.
