LONDON--DMCI Holdings Inc. (DMC.PH) Wednesday said it along with D&A Income Limited will acquire the remaining issued and to be issued share capital of nickel production company ENK PLC (ENK.LN) for 49.8 million pounds.
MAIN FACTS:
-Under the terms of the offer, ENK shareholders will be entitled to receive 19.0 pence in cash for each share.
-Independent Directors of ENK intend to recommend unanimously that, in the absence of a superior proposal, ENK shareholders accept the Offer.
-Offerors either own or have received irrevocable undertakings in respect of a total of 119.2 million shares, representing 45.5% of the entire issued share capital of ENK.
-Shares of ENK on Wednesday closed at 16 pence.
