                            Directors' Shareholdings

Cater Barnard has been informed that, on 28th November 2003, Global Investments
Limited ("Global") sold 150,000,000 Cater Barnard ordinary shares, at a price of
0.2p per share. The shares sold include those recently allotted to Global in
conversion of debt to equity. Global is the trustee of a trust in which Stephen
Dean, the Chairman of the Company, has a beneficial interest. As a result of the
sale, Global now holds 359,321,413 ordinary shares in the Company, representing
approximately 38.27% of the Company's issued ordinary share capital.


Cater Barnard also announces that, on 28th November 2003 in connection with the
Company's acquisition of an interest in Navitas Hemway Maintenance &
Environmental Limited, Aidan Mills-Thomas, a director of the Company, acquired
2,284,058 Cater Barnard ordinary shares, at an issue price of 0.5 p per share.
Mr Mills-Thomas is now beneficially interested in 128,784,058 ordinary shares in
the Company, approximately 13.7% of the Company's enlarged issued share capital
of 938,771,981 ordinary shares.
