Carbon Shareholders Approve Merger 


DENVER, Oct. 28  /PRNewswire-FirstCall/ -- Carbon Energy Corporation  announced
today that its shareholders at a special meeting approved the proposed merger of
Carbon with a subsidiary of Evergreen Resources, Inc.  In the merger each share
of Carbon stock will be converted into .55 shares of Evergreen common stock. 
Carbon expects the merger to close on October 29, 2003.
