Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 15, 2016, R. Keith Teague resigned as a member of the Board of Directors (the “Board”) of Cheniere Energy Partners GP, LLC (“Cheniere GP”), the general partner of Cheniere Energy Partners, L.P., effective immediately. In addition, on September 15, 2016, Eric Bensaude and Doug Shanda were appointed to the Board by Cheniere GP Holding Company, LLC (“GP Holdco”). The appointments of Messrs. Bensaude and Shanda to the Board were made pursuant to the rights of GP Holdco under the Third Amended and Restated Limited Liability Company Agreement of Cheniere GP to appoint certain directors to the Board.
