ITEM 8.01 OTHER EVENTS

     On August 28, 2008 the stockholders of Minrad International, Inc. approved the issuance of shares of common stock of the Company in connection with the conversion of its 8% senior convertible notes. The stock is issuable upon conversion of convertible notes in the aggregate principal amount of $40,000,000, which were issued by the company on May 6, 2008.
