Re: Appointment & Resignation of Directors
The Directors of the Company wish to announce that Bridget Kidner has resigned as Director from the Board of the Company with effect from 4 March 2020.
The Directors of the Company also wish to announce that with effect from March 4, 2020, Riyaz Nooruddin has been appointed as Director of the Board.
Riyaz Nooruddin serves as an independent director with DMS Governance Ltd. (DMS) where he oversees fund governance for private investment funds with a wide variety of structures and strategies. He brings experience in the asset management sector gained through positions held in London, the Cayman Islands and the British Channel Islands.
Prior to joining DMS, Riyaz held the position of Head of Fund Accounting at BNP Paribas, successfully leading a large team delivering fund services solutions to a suite of international clients.
Before commencing his career in industry, he worked for PwC in the Cayman Islands, auditing a range of hedge funds from start-ups to multi-billion-dollar funds with a variety of strategies. He also worked in the Investment Management department at PwC in London, UK, where his portfolio included some of the world's largest asset managers.
Riyaz is a Registered Director with the Cayman Islands Monetary Authority. He is also a member of the Institute of Chartered Accountants in England and Wales, and a member of the Cayman Islands Institute of Professional Accountants. He holds a bachelor's degree in Economics from the University of Leeds.
As at the date of this announcement Riyaz Nooruddin does not have:
(i) any unspent convictions in relation to indictable offences; or
(ii) been bankrupt or the subject of any involuntary arrangements, or has had a receiver appointed to any asset; or
(iii) been a director of any company which had a receiver appointed or went into compulsory liquidation, creditors voluntary liquidation, administration or company voluntary arrangements, or made any composition or arrangements with its creditors generally or with any class of its creditors whilst he was a director with an executive function at the time or within 12 months after he ceased to be a director with an executive function; or
(iv) been a partner of any partnership, which while he was a partner or within 12 months after he ceased to be a partner, went into compulsory liquidation, administration or partnership voluntary arrangement, or had a receiver appointed to any partnership asset; or
(v) had any public criticism by statutory or regulatory authorities (including recognized professional bodies); or
(vi) been disqualified by a court from acting as a director or from acting in the management or conduct of affairs of any company.
