Those look better than I expected, but also didn't expect that much uptake at 145p. I'd expect its holders that have been in for the large fall over last few years that want out.Still has £7m cash so EV is significantly lower than market cap as well, a return to £1m profitability would put it on an EV/earnings of about 10, not the biggest ask I'm hoping...

Well, the management have their answer. If they still believe the £3M+ is surplus to their requirements and the remaining shareholders have thrown in a higher negotiation, perhaps the company should declare a special dividend for the balance to reward those that didn’t want out.

Remember "Shareholders should note that the price paid in any such buy-backs, if made, would be at a price per Ordinary Share of not more than a 5.0 per cent. premium to the average closing mid-market price for the five business days prior to the purchase." The odds on this investment are attractive: juiced up EPS and floor under the share price if poor trading continues.

Suggests that the company was a bit tight with its offer.

RNS out, about a 2/3 take up. “... the Company retains authority in its absolute discretion to purchase in the market, up to 2,271,662 Ordinary Shares being the difference between the maximum number of Ordinary Shares available to be purchased under the Tender Offer and the number of Ordinary Shares successfully purchased.” That should put a solid floor under the share price.

I expect they will release something today. Patience! No-one committed to anything at 7am.

Who will the company buy from in the market? They just took a lot of the supply from the stale holders at 145p. It’s usually hard to buy in size. It will be interesting to hear the outcome of the tender offer on Thursday!

Would be good to establish the 5 day closing mid price at this level (or higher) for any potential buy backs by the company

I doubt they would have been able to complete the offer. If they start buying on the open market could they run the risk of overpaying for shares?

Mr 5,000 seemingly continuing with purchases. There has been a pattern of 5k bursts every few days. Deadline has now passed for accepting the tender offer, so it will be instructive to gauge the take up and whether the company has the desire to raid the market if their numbers fell short of the c.7M shares being tendered for. Good to know my holding is now divided by a lot less shares than before in percentage terms. I doubt the market was giving the company much credit for the cash it was holding so I hope things turnaround for the business as the world rights itself from the pandemic. Signs of growth should get this share price motoring.

I say that as it appears the business has been scaled back considerably as a result of the effects on their markets of Coronavirus, I think it is a shame they could not have found an acquisition in new markets relating to their core, or even diversified. I imagine there are many small tech businesses within Europe. So I guess that maybe they may try to sell the IP., time will tell.

Bookbroker, you say “...They will need significant amounts of capital to rebuild inventory and recruit new staff to carry out any significant increase in orders...” If that is the scenario, why would they have volunteered to give up £10M in cash? I feel sure there is more to this.

They’ve been busy lately on Twitter showcasing their latest capabilities with sliding touchscreens, virtual pharmaceutical dispensing machines and giant display desks, etc. Whilst they have slimmed the operations down under the cover of Covid, I wonder if there is a “cunning plan” behind it all. Maybe they’ve been approached for their IP and assets but been told to strip out all the bloat. All we can do is speculate but, for me, something tangible must have triggered this buyback move.

Tender offer rather reflects the state of the business, let’s face it, half the workforce no longer have a job. Instead of being furloughed they were laid off in 2020. And it looks like the business is virtually under care and maintenance. I imagine when markets pick up, if they do, they will need significant amounts of capital to rebuild inventory and recruit new staff to carry out any significant increase in orders. Uncertainty is where the business is, so may reflect the future of the business.
