Andrea sells some shares he holds, he bought them higher up or was given them in lieu of salary, at a higher average price, as per the salary exchange program he agreed to. He books losses for capital gains tax purposes on the share sale. He then exercises his options, with the money he got from the share sales, which are out of the money. He books a tax loss on the options as the exercise price is way above the current market price for the stock, in accordance with canadian tax law. This loss is crystalised immediately. If the shares that Andrea exercised at 7p, increase in value above 7p, then he will pay tax on any gains above the 7p price. (If Andrea had exercised "in the money" options, he gets taxed on the difference between the exercise price and the current market price and is advised to book the gain, because if the stock drops off in value later on, he is still liable to pay tax on the gain achieved on the transaction date, whether he sells or not) | sea7 | |
