I know as much as you do and there are much more clever investors in Zioc then me for analysis and opinions My view (given the positive commentary in the interim statement(s)) the DFS is done and being updated , 350m dollars spent (by I presume Glen) and Glen are not in the business nor is it in their culture to lose money What should the market value Zioc at , I really don't know but must surely be much higher then where we are At about 20p -25p it gives a mcap of around £110m £130m and financing becomes much more palatable and less dilutive if we have to contribute equity funding along with debt financing/off take funding for the first phase of operational production

Hope not Top. Looks to me the market very much supportive of the Glen stake conversion to equity Have to ask why we have 2 Glen Fe officers now on the Board , if it were simply to keep eye on their 48% holding why parachute two top Fe experts with Fe trading and off take skill sets Awaiting updated news on the potential small scale operation utilising existing infrastructure (as stated in the interims) Constance Iron is raising 100m sterling for a London listing so I wonder what it's post money valuation will be ? This for a 65per cent stake. Also I don't know what they are slated to produce pa or what grade Ours is high grade Fe which commands a premium over 62% content

Agree Ex I just think by converting into equity they will see value coming thru more quickly and transparently , plus more upside for them (if) and when they future fund operations in the term sheet .... Loan, conv loan , equity etc

They've not changed their interest in the project, just how it's held (is my understanding) ie no change in economic interest. Except of course that the offtake is publicly formalised now , whereas previously maybe just assumed...

Maybe this is why glen converted, they may well fund the small scale operation, trade the Fe thru their trading arm as they will have rights to the off take, plus they will see uplift in their 48per cent shareholding , so it's potentially all upside for Glen

Of the 593m shares now in issue, the flwg holdings seem to apply (Everitt and Higgins have both fallen below the 3% declarable level, but so far no TR-1s AFAIAA):

-GLEN 286m
-Elphick 80.3m
-Keith Everitt 17.3m
-Julian and Lydia Higgins 14.1m

Total 398m, so roughly 200m supposedly in 'free float', though many presumably in 'sticky' fingers (friends of Elphick and Howarth) still : I see I wrote this a couple of years ago :

NCCL (Ncondezi Energy) is a coal-mine/power plant project in Mozambique kick-started by M Howarth, co-founder of ZIOC with Cliff Elphick. Howarth (+ friends ?) was behind Garbet and Elphick ( + friends ?) behind Guava, the 2 x principal shareholder groups in ZIOC.
Simplistically, it appears that Elphick has the mining connections re ZIOC and Howarth the banking/HNWI connections behind both companies. Howarth appears to have a sense of humour, his HNWI activities are / were ? under the umbrella of a company called 'Strata Ltd.'

Howarth has been scaling down his (public) interest in ZIOC over the last couple of years, see : "Mike Haworth has his interest held in Salamanca Trustees (Jersey) Ltd 13,269,127. Prior to that he represented a block called Gabet of 115,671,186 shares (roughly 40 % of ZIOC) which was disbanded and paid out to the various shareholders...."

So the 'real' free float may actually be quite small....

Hope this is of some interest...and relevance!

ZIOC have updated their website.

They've had some issues getting the shareholdings right, but this bit is maybe more interesting:

If you go to the updated 'About us', you see

(a) although the longterm plan is still slurry, 'The Project Team are also currently investigating options for potential production of smaller scale tonnages using existing logistics infrastructure...."; and

(b) if you look at the map helpfully provided, [can anybody 'wayback' and see if the map was there before?] you'll note that Mayoko is 80km from Mossendijo , while Zanaga is only 95KM...and not 'as the crow flies' (as other distances are recorded), but following terrain....

which MIGHT mean something, or again not....

The psossible significance of Mossendjo being that it's a stop on the railway line from Mayoko to Pointe Noire.

HOWEVER....Here's a clip showing the terrain from Mossendjo going upcountry past Mayoko, with some -ahem! - 'interesting' footage of the state of the railway and associated infrastructure.


The police post @ 7:30 and frontier crossing @ 11:30 give a flavour...

Per the last A/R at 29 June 2022 there were 3m shares still to be subscribed out of the Shard Capital (max 21m shares) arrangement.

Re GLEN shares, there's a 6 month lockup and orderly market provisions thereafter.

If they were selling in the market, that would be depressing (and not just for the share price!) and would realise @ today's price a bare £14m.

Of course, if they sold to a 3rd party, the real 'free float' shouldn't change - in fact it would likely shrink, as everyone else gripped their lottery tickets more tightly!
