I tried to add this morning. Was quoted 6.8 and I declined. Should have been more on the ball and been online at 8, doubt I’d have got many though.

Finally over the line on this one. Just needs a majority of shareholders to pass the takeover and it's done. Given how long it's taken for us to get here, surely there can't be too many who'll vote against this deal?

Scheme of Arrangement- Second Amendment to SIA
24 May 2021

Wameja (LSE: WJA.L & ASX: WJA.AX), a joint venture partner with Mastercard in the HomeSend global payment hub, advises that the Sunset Date for the Scheme of Arrangement ("Scheme") proposed under the Scheme Implementation Agreement (“SIA”) with Burst Acquisition Co. Pty. Ltd, a company controlled by Mastercard (“Mastercard”), as announced on 10 September 2020 ("Announcement") and amended on 9 April 2021, has been extended to 18 June 2021.

The extension is to provide additional time for the documentation and execution of agreements to resolve the Potential Indemnity Claims as announced on 23 October 2020 and 5 November 2020. Wameja understands from Mastercard that agreement in principle has been reached with all relevant parties to resolve the Potential Indemnity Claims (including any potential for further claims against Wameja under the relevant indemnity granted to Seamless in the sale and purchase agreement for the sale of Wameja’s core business to Seamless that completed in July 2019) ("Claims"), which remains subject to the execution of a final settlement agreement among all relevant parties.

On this basis, Mastercard and Wameja will proceed with the Scheme in accordance with the terms and conditions of the SIA once agreements in respect of the Claims are executed by all relevant parties. The resolution of the Claims will not impact the Scheme Consideration. An amendment has also been made to the SIA to reduce the Cash Reserve Requirement by the amount of any future capital contributions made by Wameja to HomeSend.

Agreed, it will be a relief to actually get my money out and back into play here. Bought as a trade and with a falling price didn’t sell quickly enough and got locked in. All my buys around the 6p area hopefully going to pay off.

Looks like all agreed, all parties happy, transaction goes ahead. Is announcement on ASX, and appears they have forgotten to RNS here......

Maybe we might see an update on Monday.

The extension is to provide additional time for the resolution of the Potential Indemnity Claims as announced on 23 October 2020 and 5 November 2020. The Sunset Date will automatically extend to 30 September 2021 if Mastercard determines to proceed with the Scheme on or before 24 May 2021. Mastercard may terminate the SIA at any time for convenience up until 24 May 2021. There has been no material change to the status of the Potential Indemnity Claims since the announcement of 18 March 2021." RNS 9 April.

Agree tabhair. But still intriguing who it is buying in tranches of 1m and why now; the last KPI update was pretty decent but especially given the other updates since April 2020.

Another two months on from the last update now and still nothing.

Surely management can do better than this. A software audit on a company doing EUR7M of sales should not take the best part of a year.

Your broker is asleep. The 11th May was the original date for payment used in the SOA announcement of 8th Feb. This was subsequently withdrawn in later updates.

My Broker has given me advance notice to expect 8p per share cash on 11th May!!Anyone else got the same.Makes that large trade look a bit suspicious.

Nothing certain I'm afraid Johnv. It could not happen at all. That's not looking likely since MC still seem supportive. It's impossible to know for sure however until the current dispute is resolved.
