DEFERRED BONUS SHARE PLAN (DBSP) - VESTING OF AWARDS

On 12 October 2018, a DBSP award for the full year 2014 (the Award) over 9,511 ordinary shares in the Company (Shares) held by John Natalizia, a PDMR of the Company, vested in full in accordance with the rules of the DBSP. The Award vested on Court sanction of the scheme of arrangement of the Company implementing the recommended all-share offer by CYBG plc to acquire the entire issued and to be issued share capital of the Company.

The award was satisfied using Shares held in the Company employee benefit trust, and on a "net-settlement" basis, such that the number of Shares received by the PDMR was calculated net of an amount equal to the income tax and National Insurance contributions liability arising on the vesting of the Award. Details of the Shares received are included in the disclosures below.

The Shares are subject to a six-month hold period before any further sales or transfers can be effected.

All transactions took place in the UK and the Shares are listed on the London Stock Exchange.
