Victoria PLC, (LSE: VCP) the international designers, manufacturers and distributors of innovative floor coverings, will hold the Group's Annual General Meeting at 10.00am this morning, Friday 9 September 2016.

The Group is pleased to announce that it continues to make good progress in its key UK and Australian markets and is on track to meet all objectives for the current financial year.

Victoria has found no shortage of demand from its customers following the outcome of the EU referendum. In addition to organic growth, the Group is continuing to look for further acquisition targets and there is no shortage of opportunities. With a strong platform for growth in place the Board continues to remain confident for the future and committed to delivering returns for shareholders.

The directors consider that having a larger number of ordinary shares in issue, each with a lower market value than at present, has a number of potential benefits for shareholders; these include moving the share price into what the directors believe to be a range that may improve the liquidity of the market in the company's shares and potentially reduce the bid offer spread. The directors also believe that a share split could help to attract and retain a more diverse shareholder base.

Details of the resolutions to be proposed at the AGM are set out in the notice of AGM and include a resolution seeking authority for a five-for-one Share Split, which will increase the number of ordinary shares owned by each shareholder by a factor of five, with an expected resultant reduction in share price. Shareholders should note that subject to market movements, the aggregate value of their shareholdings should remain the same following the proposed Share Split.

AJ Bell tell me VCP are having a share split 5:1 not heard it from other sources bit dubius as they say if approved at agm on 9th sept 16 the split will take place on 12th AUG 16!

"A stock split is usually done by companies that have seen their share price increase to levels that are either too high or are beyond the price levels of similar companies in their sector. The primary motive is to make shares seem more affordable to small investors even though the underlying value of the company has not changed.

A stock split can also result in a stock price increase following the decrease immediately after the split. Since many small investors think the stock is now more affordable and buy the stock, they end up boosting demand and drive up prices. Another reason for the price increase is that a stock split provides a signal to the market that the company's share price has been increasing and people assume this growth will continue in the future, and again, lift demand and prices.

The bottom line is a stock split is used primarily by companies that have seen their share prices increase substantially and although the number of outstanding shares increases and price per share decreases, the market capitalization (and the value of the company) does not change. As a result, stock splits help make shares more affordable to small investors and provides greater marketability and liquidity in the market."
