VLG should imo easily be able to accommodate the further acquisitions detailed in last year's placing RNS - including Vulcan, which would be only £5.5m - from the existing cash pile plus a relatively small amount of borrowing. No further fundraising would be necessary.

Agreed Simon. I suppose this opportunity was too good to pass up given the chance to acquire the highly profitable products with not only the various synergies but also the acquisition of a highly automated factory which has so much expansion capacity.

Just a question on the strategy. From what I understood the plan was to buy brands to put through the factory in Italy because it has spare capacity and was easily scalable for a low cost of capital. Today's acquisition doesn't look to fit that template as they have an under utilised factory and it doesn't sound like it will be closed. At least it does spread the risk of having all their eggs in one factory.

Looks like they will need another fund raise IMO if they want to acquire "Vulcan" (circa £5.5m).Net cash at year end was £42m following the £34m placing and open offer last year, they've now made a £35m-£36m acquisition and some cash raised previously also went towards strengthening the balance sheet and working capital.......so another pump and dump on the cards before the begging bowl is passed around again?.

With Tulcan and maybe one or two more smaller ones in next few years, how long before VLG is banging out c.£20m EBITDA do we think?

Paying 32m for an EBITDA of 2.6m. VLG current PE is 26, so it should enhance.

So could VLG now be pushing £10m+ EBITDA on an annualised basis? Me thinks answer yes with Project Vulcan still in the mix....

With this management's ability to unlock future value, new revenue avenues and operate at good EBITDA margins, then the future looks very bright IMO....

Agreed riv....tbf, worth the wait and good old Project Vulcan still on the go.....

Can see now why this took its time as looks a complex one for them to get totally right from a valuation point of view and validation of what is happening in the future.

Its clearly a sellers market indicated by only £1m of deferred acquisition cost on a £36m price tag and that they have not closed Vulcan yet. However agreed the numbers look good on a 2022 basis. We should rerate now that the cash has been put to good use and Vulcan is still in play.

Looks like a very good earnings-enhancing and strategically important -and material - acquisition for £36m:



Plus more news flow soon:

"further acquisitions, such as Project Vulcan, which is still in progress and we expect to update the market on soon."

The key paragraph imo:

"It is, therefore, our expectation that adjusted for a full year effect of immediate cost savings (and before we have achieved any revenue synergies), the acquisition would represent a high single digit EV/EBITDA multiple for FY21 and we expect further revenue growth in 2022 and beyond."

Further good news for the future:

"The business comes with its own manufacturing facility in Gnesta (near Stockholm), Sweden, which manufactures the BV gel product. This facility has been heavily invested in by the Seller and possesses fully automated production machinery that is currently running at circa 20% capacity. This facility has significant capacity for volume growth and provides VLG the opportunity to increase output to meet and generate new business."

Zoetic International (ZOE)

On 17/5/2021 ZOE announced they had received orders of $0.34m for April + $1m from 1st to 14th May (i.e. $1.34m Orders in only 6 weeks) just for Chill products in the US, and they were now 'trading profitably'.



With rollouts into further stores happening all the time and tens of thousdands in the pipeline, two flavours of Zoetic Gummies about to go on sale in the US and Chill products about to go on sale in the UK, sales orders will rocket.

Buying coming in now at the full 90p offer price. Perhaps an overhang has cleared.

Certainly interesting that this rise is coming on the day of a closed AGM!

QS99 - you obviously did not read the notice of AGM - it was held as a closed meeting and any shareholder questions should have been submitted in advance.

I have to contrast this with the AGM of EKF yesterday that was also a closed meeting physically but shareholders could attend via zoom, where there were some good questions from shareholders and informative replies.

If the number of potential acquisition targets has increased, then the company should communicate this. In any case, it is a great question for the AGM.
