It's connected to the change of domicile from Bermuda to the UK. Under UK law, you can't pay a dividend without distributable reserves, so they did this convoluted process to create them. As far as investors are concerned, I think the whole thing can safely be ignored. I think UEM will pay less tax so we will benefit.

Riskvsreward. Yes they do. Perhaps I misunderstood the previous post. Those who exercised their subs will now be holding the shares, and so are eligible for all future dividends.

I would think the exercised sub shares will now be the common shares and will rank par with any other common shares by the ex-div date of the 22nd of March and should be entitled to the dividend. Please correct me kenmitch if my understanding is wrong. Sub shares no longer exist by now as all have been exercised.

Sub shares do NOT get the dividend. Yes. A great outcome for those who risked the trustee. I sold mine for 37p and 35.5p. Not as good but looked a good decision when sub price fell to 21p when Wall Street fell heavily. With hindsight should have bought a few back then! But overall a good outcome AND for the Trust who now have £millions of new money.

the trustee did a great job exercising all the subs and sold them at 223p, making each uems worth 40p before cost, much better than part of my holdings sold at 34p.

killing - we were forewarned (23/02): This dividend would typically have been paid in June 2018. However, in light of the proposed re-domicile of the Company to the United Kingdom and the expected timeframe for Utilico Emerging Markets Trust plc to complete the proposed capital reduction to create a distributable reserve, the Board has decided to bring the payment of fourth quarterly interim dividend forward. In addition, since the listing of the Company's shares is expected to be cancelled at the time of the listing of the shares of Utilico Emerging Markets Trust plc, shareholders should note that the fourth quarterly interim dividend will be a cash dividend only and the Company's dividend reinvestment plan will not operate.

Had the dividend paid yesterday and just noticed that the stock goes ex-div again on the 22nd of this month with payment on the 13th of April. They seem to have moved it forward by two months. :-)

The on-shoring of UEM will mean that share purchases will be subject to stamp duty. Remaining offshore may incur the political risk of attack by a Corbyn government but coming onshore may make it more easily vulnerable to legislative changes by said government. The requirement to distribute 85% of profits in dividends will make it less flexible. The main argument for is that the company is now subject to greater capital gains tax. Hopefully, the UK's double taxation agreements won't be affected by Brexit.

And as not so cunningly expected, the report nearly opens with: "UEM has announced that it is proposing to change its domicile from Bermuda to the UK, which has the potential to improve investor perception and may lead to a narrower discount." :) Now if only UIL Ltd did the same... Same team and family mind you, so there is hope.

@ vacendak - not your fault: it was hard to make sense of the original! I see they will incorporate as a 'UK closed end investment trust'. That may, in fact, carry a lot of advantages of which tax may be one. I doubt it will make us poorer.

I would like to bow my head in shame and eat crows about my post at 162. I had read the statement about looking to relocate the way most people would have read it: Paying too much tax, looking for a place to pay less. Even though we were talking about leaving Bermuda! And now this, from yesterday: https://uk.advfn.com/stock-market/london/utilico-emerging-markets-UEM/share-news/Utilico-Emerging-Markets-Limited-Proposals-to-Re-D/76713115 They now want to move back to the UK. Maybe the whiff of tax avoidance - despite being above board and legal - now proves costlier with regards to image concerns than the lower tax bill. I am certainly not complaining this time.
