Something does not add up! The website looks like it is a thriving business that has been around for nearly 30 years.

I think it may have started life as this company:



Which effectively went bust a few years ago. It was run by David Mendus, who also runs the current Spedinorcon with other members of his family on the board. It was set up in 1998 so 17 years ago, not the nearly 30 claimed on the Spedi website. The website talks about 2000 stores, but UNG say 1500.

"SPEDI software has been helping retailers improve their business and increase profits for nearly 30 years. Originally developed for convenience stores, our EPoS is now in use in about 2,000 retail stores throughout Great Britain."

There is this rather strange Blog on the site that seems to have been posted on lots by the same 2 people from Oct 2013 to Nov 2014.



This has a rather bad smell about it and it does not help that UNG are being so cagey about what they have said about the acquisition - who ever saw an announcement of an acquisition that did not even say what it was bought for? I keep thinking there must be a simple and innocent explanation, but whenever I have seen strange inconsistencies like this before, it has always spelled trouble.

I hope they did not pay very much for it. It does not seem to generate any revenue and has racked up some significant liabilities.

The total lack of transparency in the announcement about the consideration and the true state of the business is extremely worrying. The RNS is just meaningless fluff. We do not get many RNSs from UNG, it would be nice when we do that it contained real relevant info.

Overall distinctly unimpressed!

FinnCap analysts believe the acquisition will improves the group's share of the convenience store market and widen its customer base and product range.

"We believe that this technology can be used to strengthen Universe's existing POS software offering," the broker added.

They are knitting together a rather useful catch everything retail software provider in the convenience store sector which is actually the fastest growth area in retail. No doubt scale is everything and the big boys only take you seriously if the company behind the product looks to be big and secure too as they have to depend on you being there for them long term.

Results are next week and I am having a presentation so I should be able to get any questions answered then. I am also trying to get them to www.melloevents.com/mello-workshop/ once they are finally out of the closed period.

Lanzarote666 - If your revenue figure for Spedi is correct, it is rather larger than UNG which has historic revenue (2013-14) of about £16m although this should now have grown by acquisitions and added contracts. [EDIT: See 312, below.]

I assume Spedi has been a private or unlisted company - or is it connected with a continental operation of similar name? I have not established what connection it has or may have had with the ailing Norcon company. Was it a sometime spin-off?

It is strange that the mode of acquisition (cash, paper, rto?) is obscure. Many question and no answers yet. We need more information on this.

Very strange that no cost of the deal is provided. At the last results issue UNG did not have a great deal of cash in the bank, so does this mean a share issue will be involved.

They presented at Mello Central at FinnCap in September 2012 so that was before the new management and growth plans.

I am expecting the results to be just after the Easter break so that should be perfect timing for Peterborough. We have a great line up of companies but I do want to add UNG into the mix.

If you are keen on small caps and quality companies where you will be able to meet the directors then you should come to the Mello investor workshops event as we will have at least 30 there.

Universe have been invited and they will be presenting to investors at this event or my monthly dinner event as soon as the results are released.

This has dropped completely out of the picture on advfn and as such the share price could be expected to sag. In the circumstances it is holding very well and should respond strongly on any good news.

Agree the option holder was S Mcleod, his exercise period for 4.2m of those options started on 26th Jan so wasting no time.

Regards the 7m sold - if all the same seller should be notified in time as over 3%. S Mcleod held just over 5m shares outright so prob not him.
