Exercise of Options, PDMR Dealing & Total Voting Rights

Universe Group plc (AIM:UNG.L), a leading developer and supplier of retail management solutions, payment and loyalty systems, announces that following an exercise of options over ordinary shares by Malcolm Coster, Non-Executive Director (the "Exercise"), application has been made for 875,000 new ordinary shares of 1p each ("Ordinary Shares") in the Company to be admitted to trading on AIM on 28 July 2020 ("Admission"). The exercise price of each option was 1p. Following the Exercise, Malcolm Coster holds 2,444,111 Ordinary Shares being 0.94% of the Company's enlarged share capital. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.

Following Admission, a total of 9,328,000 options over Ordinary Shares (representing approximately 3.57 per cent. of the Company's enlarged issued share capital) remain outstanding.

Total Voting Rights

Following Admission, the Company's issued share capital will be 261,066,720 Ordinary Shares. This figure of 261,066,720 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
