The Company intends to seek shareholders' approval of the Cancellation at its annual general meeting ("AGM"), expected to be held on 25 May 2017.
Notice of the AGM will be posted to shareholders in the coming weeks which will set out (amongst other matters) further details of the Cancellation, the process to be followed and the effect on shareholders of the Cancellation.
TWC3N, who following the Transaction hold 89.4% of the Company's issued share capital, is supportive of the Cancellation and therefore it is highly likely that the Cancellation will become effective shortly after the AGM.

-- the considerable cost, management time and the legal and regulatory burden associated with maintaining the Company's admission to trading on AIM which, in the Board's opinion, are disproportionate to the benefits to the Company;

TAO UK holds 2,982,444,445 Common Shares, representing 89.4% of the issued share capital of the Company and has an outstanding loan of GBP0.33 million to the Company (including accrued interest) which accrues interest at 6% per annum, payable annually and is repayable to TAO UK on 1 April 2018. TAO UK is the immediate controlling entity of the Company.

The offers for TPS were well below the trading price of the shares. However, we have to guess what the share price was at the time though.

The last final results were delivered on the 15th March with the share price at 0.2p. It is likely the share price was around 0.3p at the time of the bids. Therefore it seems that all the bids were around 0.2p or so.

Sit patiently as only 10.6% of the shares are on market. TAO UK Limited could buy out the remaining shares quite cheaply. It would be easier for them to accept a bid later without the baggage of personal investors with very small holdings.

Only winners here are the mm's, they will take mug punters for every penny. The last tiny seller had to take a discount it's unbelievable how greedy mm's are but you were asking for trouble chasing the spike in this one.

Who cares if revenues are 13 million or 13 billion the business does not make money and never has.

It's that good a business that nobody has offered anything for it.

Keep up the spin BP because with this one you are writing rubbish.

sure I know. But the management team paid very little ...they did not put all that money up! They may asset strip or sell the losses somehow. The company is worth more than the 0.01 some were selling for. Revenue was 13 million last year....thats a lot of customers. A bigger business will want bits of this. Have you read the last results?

At 0.05 its a punt.....I think its cheap for anyone waiting a couple of years to see what the new management can do.

And I used to hold Contentfilm !

You cannot compare the both, while CF was swamped with debt it did have a profitable
business that generated lots of cash so eventually they could pay debt down and saving money on the listing costs all added up.

Have you actually even bothered to research the numbers BP, this company has lost over £100 million pounds in it's history, it might have briefly made a tiny profit but from memory it's just loss after loss then placing after placing.

Did you know this was once over 300p a share, now 0.1p because the business was not viable, they have milked the stock market for funds for over as long as I can remember.

You do know this used to be called Turbo Genset ?

Turbo Power Systems is in a similar position to a mining company in Australia, Jupiter Mining Limited JMS. The shares tumbled from 88c to 5.5c, finally the company withdrew from the ASX as selling an asset at several times the market cap was impossible. The final price of the shares in January 2014 was 8.1c.

Good news eventually, in March 2017 as profits soared and 6% of shareholders shares were bought back at 53c a share. A 550% profit for those buying on the last trading day in 2014.


TPS are quite different in nature but are at present attracting the same heavily discounted embarrassing offers. The company has no alternative to cancelling the AIM quotation. Hopefully Turbo Power Systems will also eventually prove to be equally as cheap.
