To quote the Walbrock report ... "Look to the cash flow statement, and you see share-based payment rose to £665k from £121k. Management rewarded themselves with large bonuses, despite missing earnings forecast. The cancellation of its special dividends took the yield down to 1.6% from approx. 2.5%. To be fair to management, the company share price rose from 30 pence to £2.59, an increase of 760% in the last five years. Surely, management deserves their bonuses for delivering long-term gains to shareholders." - long term investors will remember the pain back in 2010 when the management took the share price from 60p down to 20p - they had to get in outside help to pick the company up again - now again ... "We are working to appoint new Non-Executive Directors to bring fresh ideas and new experiences to our Board" {Annual Report} - the present chairman was only supposed to be 'Interim' - going by past experience, I am thinking that circumstances are obliging him to let go and there may yet be unwelcome revelations to come - I would not be surprised if it was not this same management that is stifling the young talent within the company AIMO, BWDIK GLA and ride the storm.

The website Is free to join so I think you may find it of interest. However the takeaways are that the shares are relatively expensive based on future prospects and the remuneration voted in by the directors could be considered excessive. Extract from the article is below; Overall, I have a positive impression of the company. The remuneration issue does look like a legitimate concern, and some further clarity would be helpful, though I don't believe it makes the shares uninvestible. My larger concern would be the valuation, as it looks fully priced to meTo read more about concerns relating to remuneration practices at the company, check out the comment thread below and especially post #13.Update: Having read the November 2017 RNS, I now think that the scale of dilution from options is simply too large, and it would be enough on its own to put me off buying these shares. But that's just me - other investors take a more relaxed view, and are happy to vote through schemes like this.

As some modest consolation: Tristel declared a full-year dividend of 4.58p, up 14% from 4.03p paid the year before.

Looks to me as if they are ramping first half sales on Brexit fear which will bite them in the second half but hopefully covered by new US Sales. Smoke and mirrors to come. Uneasy ride for the next year IMHO

Did note that but I do think the statements around Brexit sounded a louder alarm than anything else. It was a little like a warning about a potential future warning if that makes sense.

Zimtrader, I'm not sure the results are so great. The headline "adjusted" EPS has improved by 10%, but the basic EPS, which has the "share based payments" deducted, has fallen by 5%. To me, the share based payments are just another kind of director expense (although under IFRS2 they have to be disclosed separately), so why deduct them from the basic EPS? Obviously for PR reasons. The second negative is that expected US sales have yet again been deferred 6 months. These US forecast sales support the current valuation. I think the above 2 issues explain today's price fall to 260p.

@Zimbtrader, I have only read the RNS but I don't see anything to worry a long term investor but traders / speculators may be spooked.

Thanks Piedro. I too checked the video. Nice one. Not sure if it’s business valuation bigger or smaller compared to tristel. If both are British companies, doing similar business... hmm.

Sporti, I don't know anything about GAMA, their website shows no listing nor parent company and hence must be private. What caught my eye was their lively presentation and ... "GAMA Healthcare developed the first universal disinfectant wipe available in the UK under the Clinell brand. Since then Clinell has become one of the largest suppliers of wet wipes to the NHS in the UK, and exports its products to over 50 countries worldwide. hTTp://gamahealthcare.com/04about.html - quite refreshing in comparison to the Tristel approach, which may have colour but that's it - the is important is who gets the customer - presumably the "universal disinfectant wipe" can be used anywhere as opposed to one product for each area which I've always thought of as the same thing in a different package AIMO, BWDIK.

Piedro, Thanks for information about GAMA. Is GAMA listed on any stock exchange? Or, is it completely under private ownership? Any idea?

Some healthy competition ... Healthcare Founders Recognised Among ‘50 Most Ambitious Business Leaders In The UK’ SEP 28, 2018 Dr Guy Braverman and Dr Allen Hanouka, the co-founders of GAMA Healthcare, have been named by LDC as one of the ‘50 most ambitious leaders’ in the UK. LDC, the Private Equity arm of Lloyds Bank, compiled the list of Britain’s leading entrepreneurs in partnership with The Telegraph. GAMA, a leading supplier of disinfectant wipes and infection prevention solutions to the NHS, has been one of the key drivers of improved infection rates in hospitals across the country. Guy and Allen founded GAMA in 2004, after meeting during their time in practice at the Royal Free Hospital. They developed a single universal disinfectant wipe that was effective on a range of healthcare acquired infections, at a time when it was traditional to use a two-step approach of first cleaning then disinfecting surfaces and equipment in hospitals. Since then, the business has grown rapidly, with more than 130 employees and a new £2.5 million R&D facility in Halifax, West Yorkshire, under development. As well as being one of the largest suppliers to the NHS, the company's products are increasingly sought overseas, now selling to 60 countries worldwide, particularly in China and Australia, where it has opened up offices and where much of the rapid growth in sales has arisen. Dr Guy Braverman, co-founder and managing director, said: “This has been a great year for GAMA, but it wouldn’t have been possible without the hard work and dedication of our brilliant team, here in the UK and beyond. It is their commitment and drive which has got us into this market leading position, and I’m delighted to see that being recognised.” Dr Allen Hanouka, co-founder and managing director, added: “I want to pay tribute to the whole team at GAMA. We are already one of the leading suppliers of infection control solutions to the NHS, but the hard work, ingenuity and energy of the GAMA team has been the driving force of this rapid growth internationally, and I’m glad that this is being recognised with these awards.” https://tinyurl.com/ya7tz29x The company video https://www.youtube.com/embed/iTogqhWyaFk
