PUBLICATION OF PROSPECTUS AND CIRCULAR
The Board of Triple Point VCT 2011 plc is pleased to announce that the Company has issued a prospectus (the "Prospectus") relating to an offer for venture ordinary shares ("Venture Shares") to raise GBP10 million (the "Offer")* and a circular (the "Circular") in connection with the Offer and the cancellation of the Company's share premium account relating to its B Shares, following approval from the Financial Conduct Authority.
*If the Offer is oversubscribed it may be increased to GBP20 million at the discretion of the directors of the Company.
The Circular includes a notice of a general meeting to be held on 19 October 2020. As a result of Government restrictions on movement and gatherings imposed as a result of the COVID-19 pandemic, shareholders will not be allowed to attend the General Meeting in person, which will proceed as set out in the notice with a quorum which will be made up of shareholders who are directors of the Company and/or partners and employees of the Company's investment manager. Voting on the resolutions to be proposed at the General Meeting will be conducted on a poll, rather than on a show of hands .
The Offer is now open and is expected to close on 30 July 2021 unless fully subscribed at an earlier date. A copy of the Prospectus and the Circular will shortly be submitted to the National Storage Mechanism located at: https://data.fca.org.uk/#/nsm/nationalstoragemechanism and may be viewed on the Triple Point website at: www.triplepoint.co.uk .
