Your missing the point - this is obviously one of the hottest stks on aim.

Hes trying to bash it down to get in cheap - if he was really bothered he would ring the co secretary, co broker or London Stock Exchange helpdesk etc - we might discover reporting thresholds on Aim are different for instance - but that doesn't suit his purpose - why are you entertaining a basher?

Luckymouse - Your reply to fugwit is incorrect. Put simply your mathematics is wrong.

"the Company's broker, has today conducted a placing (the "Placing") of 1,220,000 existing ordinary shares of one pence in the Company ("Ordinary Shares") (the "Placing Shares") with a new institutional investor"

This is around 4% of the shares in issue. 1.22m divided by the number of shares in issue. You have erroneously divided the shares you think they have acquired by the market cap.

fugwit - You are right to assume that this new institutional investor should inform the market. I have guessed in post 492 that they are still trying to acquire shares in Trakm8 which might mean they don't have to declare their interest until their order is complete? I am unsure on this matter, but it would make sense otherwise I would have expected an RNS by now.

Well - the dirs sold 1.22m - and a selection of random institutions with v minor holdings sold small bits n pieces totalling c367k - total 1.587m

Then Hargreaves Lansdown Stockbrokers (a new investor) picked up 1.5m

The other large investors all added a bit too mopping up the rest

It looks like a professional was ringing round the register trying to put together a package for the new investor - and seeing as the other main holders weren't selling (in fact adding) - they went to the small holders & dirs to try put the deal together - & pick up a dealing commission no doubt 1.587m*157.5p=2.5m [nice round no.] *0.5%=12.5k

The dirs probably thought a good opportunity to cash in at a good profit whilst still keeping 90% of their holding and without diluting - its fair play to sell a few at some point - especially to reward genuine exceptional performance!

Shares Outstanding are 28.9m *176.3p (Hi @ 27July) = 50,950,700 mkt cap
1.5m / 50,950,700 = 2.94% ie it was engineered to fall under 3% threshold.

Happy now? ;) Let me know when you buy :)

Can anyone explain why if the sale of 4.2% of the company by the directors on 27th July which was apparently to a single institutional investor there has not been a RNS with said notification? Serious question as in this instance there is no leeway for the company not having been informed by the purchaser presumably therefore they have a duty to disclose even if the purchasing institution is flouting the rules. Any guidance?

I think it's right to question Director sales particularly when they trot out that old chestnut "to satisfy market demand". A rather lame excuse in most circumstances. Why exactly would you care what the demand was if you believed that the prospects for your company were such that the share price had far further to run? But therein lies the rub I suspect.

From the recently released finals, Trakm8 is a company with big ambitions and rightly so :-

"The long term strategy is to expand from our UK centric base for solutions and introduce the business model into new markets. The market for our solutions is growing across the globe. Trakm8 can be one of the providers to benefit from this and grow into a very significant business. This strategy provides the shareholders with the prospect of continued increase in shareholder value over the medium and long terms."

But also note :-

"Although our primary strategy this year is to focus on maintaining strong organic growth and to maximise the potential of DCS, we continue to assess opportunities which augment growth through further selective acquisitions. Any acquisition being considered will need to meet our clearly defined market segment objectives and financial criteria. To that end we have agreed a £2m increase in our debt facility with HSBC bringing it to £5.7m, of which £3.7m has been drawn."

I suspect that Trakm8 will seek acquisitions that are substantially larger than the recent purchase of DCS, and that in turn will probably require a mixture of debt and equity.

If I was a Director, I might be tempted to bring on the institutional investors now. If a placing is required in the future to help fund acquisitions then institutions that already have holdings are likely to participate and won't be looking for a huge discount on the prevailing share price since they would only be diluting their existing shareholdings.

I believe that it's significant that they each sold less than 10% of their substantial shareholdings and therefore retain 90% of their shareholding despite the share price ten bagging, and collectively still own 40% of the company.

Interestingly our new shareholder is in no hurry to declare their interest, and one assumes is therefore acquiring or attempting to acquire more shares.

The shares currently stand on a forward p/e of 15 which seems cheap for the stellar growth they are achieving.

My assumptions above could all be wrong of course, but having re-read the finals I am more than comfortable with future prospects.

Just watching the events unfolding at ACSO today gives me the confidence to hold on to TRAK in the hope of achieving a similar performance. A growing, profitable company, with technology that is of use to the blue chips & can be rolled out across the nation.

I would expect some more buying this morning once people have read the results from Quartix Holdings which were released this morning. They operate in the same sector and the figures look very good.
