Result of General Meeting

Totally (AIM : TLY), the provider of a range of out-of-hospital services to the healthcare sector in the UK, announces that at the Company's general meeting, held earlier today, the resolution proposed to approve a reduction of the share capital of the Company, involving the cancellation of its share premium account, was passed on a show of hands.

The Capital Reduction remains subject to the confirmation of the High Court and an application will now be made to the High Court in this regard. The Court Hearing to confirm the Capital Reduction is expected to be held on 5 November 2019.

If confirmed by the High Court, the Capital Reduction will result in the creation of distributable reserves which will allow the Company to pay dividends or make distributions and/or undertake a buyback of its Ordinary Shares in due course, should it be appropriate or desirable to do so.

It is the intention of the Board to declare an interim dividend at the time of the interim results announcement in November 2019.

The Capital Reduction is described in the Circular that was sent to shareholders on 27 September 2019 and which is available on the Company's website (www.totallyplc.com).
