If you look at timing and pricing I think we have: 14th Feb @ 12.5p 11:55 3,697,954 12:00 2,040,000 Total 5,737,954 - most obvious explanation is sale by Harrisons, although if they hold in each of their own names not entirely clear how they can record a single sale of more than one brother's holding - perhaps both held with a nominee? 14th Feb @ 12.525p (part 1) 12:57 160,000 12:57 480,000 12:59 150,000 12:59 150,000 Total 940,000 - most obvious explanation is buy of some of the 12.5p shares 14th Feb @12.525p (part 2) and @14.25p 13:11 2,550,000 at 12.525p 13:13 2,550,000 at 14.25p Possibilities: A. Both purchases of the rest of the 12.5p shares plus a few more B. First is a purchase of 12.5p shares, second is onwards sale (nice profit) C. A separate back-to-back transaction (sale and purchase) The problem with B. and especially with C. is that there are then a lot of 12.5p shares unaccounted for. 15th Feb @ 12.5p 16:26 110,000 This transaction is also interesting. Given the price appeared to have recovered by the end of 15th, why such a low price for a relatively small quantity? Or is this somehow linked to the initial 12.5p sales? I guess the argument might be that (part of) the market may have known for a while that they were looking to sell and so once they have sold that particular overhang is gone. But the counter-argument surely is that if even the Harrisons have given up on Totally turning round Vocare sufficiently to boost the shareprice in the short-medium term then that's a bit worrying. What does that do to the case of the remaining shareholders to stay invested? This might be a good time for Tly to come out and say that they are going to implement the share buyback. If they can effectively present this transaction (assuming it is the Harrisons selling) as the reason they haven't embarked on the share buyback before now then maybe that will remove some doubts over the balance sheet and their ability to generate cash going forwards. | 1gw | |

16/2/2019 14:45 | looking at the conditions for disposal of shares by Harrisons brothers.. The 1st sentence doesn't apply it's over 12 months... but the 2nd does.. They are bound by "orderly market restrictions"... and the 'certain limited exceptions' They would have followed those 'orderly market restrictions' and it's entirely possible the conditions included TLY to buy the shares.. We'll find out soon enough... Pg 32: "12. LOCK-IN AND ORDERLY MARKET ARRANGEMENTS The Vendors have undertaken to the Company, Allenby Capital and Cenkos Securities that, subject to certain limited exceptions, they will not dispose of any interest they hold in the Consideration Shares for a period of 12 months following Admission. Funny though, because I asked Wendy directly at the AGM about their holdings because of the suggestions on these bbs that they might want to sell (or even that the company might want to use the share buyback to buy them out). As far as I can remember I got a clear message back that they wouldn't be interested in selling at the then-current price (20p+) because they expected the share price to go much higher (or words to that effect). So in itself, that's pretty depressing if they've now bailed at 12.5p. But it's probably better than seeing Unicorn or L&G bail. And if there's a decent institutional buy on the other side then it could be the catalyst for a shareprice recovery. | 1gw | |
