PDMR Dealings

As announced on 8 December 2017, ThinkSmart Limited (AIM: TSL) today bought back and cancelled 750,000 and 500,000 ordinary shares of no present value each in the Company ("Ordinary Shares") in accordance with the Loan Funded Share Plan. The Ordinary Shares were issued to the trustee of ThinkSmart's Loan Funded Share Plan on 4 July 2013 and 18 September 2014 respectively to hold on trust for Mr Montarello, subject to certain performance criteria. The 750,000 and 500,000 Ordinary Shares subsequently failed to vest due to not meeting the required performance criteria and so have been cancelled reducing Mr Montarello's beneficial shareholding in the Company and also the number of Ordinary Shares in issue.

Mr Montarello's total shareholding now comprises of 29,061,036 Ordinary Shares, representing 27.88% of the Company's issued share capital of 104,228,744 Ordinary Shares.

The Company's issued capital consists 104,228,744 Ordinary Shares with voting rights. The Company hold no shares in Treasury.

Post this cancellation, the total number of voting rights in the Group is 104,228,744. This figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change in their interest in, the Group under the FCA's Disclosure Guidance and Transparency Rules.
