06/2/2019 14:50 | Wasn't me! | frazboy
06/2/2019 14:50 | Some lucky bugga got out of 250k shares at 33p. | tiltonboy
06/2/2019 14:47 | I think the statement is designed to persuade us (LSR holders) to accept his paper, but, what's to stop him pulling off a similar trick in the future? Well as the offer effectively costs him in dilution of his value in thal stock, one would have to imagine there must be some clawback down the road | hindsight
06/2/2019 14:36 | For each Offer Share: 14.64 pence in cash and 0.26 Thalassa Consideration Shares | hindsight
06/2/2019 14:32 | i dunno... you would have thought so. But what would you make of that as a Thalassa shareholder? I think DS created the PS so that he could bid for LSR without seeking shareholder approval. However, there wasn't sufficient T/O of the shares in interim period to ensure that he would be successful in a vote (not enough PS have been cancelled). So, he moved to the main market so that he can make the offer without seeking approval (a bizarre advantage, to him, of a main market listing). And, what if he's unsuccessful in his bid (more of a concern for Thalassa's shareholders). I think the statement is designed to persuade us (LSR holders) to accept his paper, but, what's to stop him pulling off a similar trick in the future? | frazboy
06/2/2019 14:25 | ...which suggests they are going to make an offer by the 5pm deadline today. | tiltonboy
06/2/2019 14:17 | "he THAL Board also wishes to advise the market that the preference shares issued on 30 September 2018 and announced on 4 October 2018, will be cancelled upon successful completion of the LSR offer" From Thalassa's results - he has until 5pm to make an offer. | frazboy
05/2/2019 12:42 | any still in? | hillofwad
05/2/2019 11:56 | A couple were withdrawn | tiltonboy
05/2/2019 11:31 | anybody know which are the properties in todays Allsopps auction? | hillofwad
05/2/2019 10:33 | Surprised no other hats in the ring, be it a reverse into a cash shell or other, but maybe lsr directors are networking on this as well as court order liquidiation | hindsight
05/2/2019 10:20 | From new listing doc under risks Preference Shares The Company issued Preference Shares to its shareholders on the shareholder register as at 30 September 2018 on a one for one basis. The Preference Shares were issued as a means of defence against an unsolicited bid for the Company. Each Preference Share has no rights other than 10 votes per share. Each Preference Share does not transfer with any sale of the related Ordinary Share and therefore as the Company’s Ordinary Shares are traded, a referable number of Preference Shares are cancelled. Any investor acquiring Ordinary Shares after 30 September 2018 would therefore not enjoy the enhanced voting rights afforded to those existing Shareholders of the Company who hold Preference Shares. Accordingly, the voting rights in the Company will increasingly reside with those Shareholders who retain their Ordinary Shares and who therefore also hold Preference Shares | hindsight
30/1/2019 22:58 | Yes,I think so. | gfrae
30/1/2019 22:33 | The preference share issue changed paragraphs 7,14,18,20,23&43 in the Articles of Association in October, if they've only changed para 23 I'm deducing preference shares still exist. | cockerhoop
30/1/2019 15:31 | From the suggested changes to the Articles of Association it doesn't look as if the Preference Share issue is going away with the new listing. | cockerhoop
30/1/2019 15:30 | Seems they had another oddity on top of the preference share voting issue then | hindsight
30/1/2019 15:18 | Looks like they are going to get it then! | tiltonboy
30/1/2019 15:15 | Perhaps prompted by my call :-) | cockerhoop
29/1/2019 15:09 | WHI? WH Ireland - answered my own Q. | frazboy
29/1/2019 14:59 | Spoke to WHI, it's been delayed, expect a clarification RNS shortly. | cockerhoop
29/1/2019 09:09 | The THAL prospectus for the application to the full list was supposedly being issued in the week commencing 21st January...anybody seen anything? | tiltonboy
24/1/2019 11:18 | Frazboy, THAL sliding due to halting of buyback and no other buyers due to any new purchases being effectively non voting. You would hope the Preference Share issue is resolved with the extra flexibility a main market listing provides. | cockerhoop |
