I think the statement is designed to persuade us (LSR holders) to accept his paper, but, what's to stop him pulling off a similar trick in the future?

Well as the offer effectively costs him in dilution of his value in thal stock, one would have to imagine there must be some clawback down the road

i dunno... you would have thought so. But what would you make of that as a Thalassa shareholder? I think DS created the PS so that he could bid for LSR without seeking shareholder approval. However, there wasn't sufficient T/O of the shares in interim period to ensure that he would be successful in a vote (not enough PS have been cancelled). So, he moved to the main market so that he can make the offer without seeking approval (a bizarre advantage, to him, of a main market listing). And, what if he's unsuccessful in his bid (more of a concern for Thalassa's shareholders).

I think the statement is designed to persuade us (LSR holders) to accept his paper, but, what's to stop him pulling off a similar trick in the future?

Preference Shares
The Company issued Preference Shares to its shareholders on the shareholder register as at 30 September 2018 on a one for one
basis. The Preference Shares were issued as a means of defence against an unsolicited bid for the Company. Each Preference Share
has no rights other than 10 votes per share. Each Preference Share does not transfer with any sale of the related Ordinary Share
and therefore as the Company’s Ordinary Shares are traded, a referable number of Preference Shares are cancelled. Any investor
acquiring Ordinary Shares after 30 September 2018 would therefore not enjoy the enhanced voting rights afforded to those
existing Shareholders of the Company who hold Preference Shares. Accordingly, the voting rights in the Company will increasingly
reside with those Shareholders who retain their Ordinary Shares and who therefore also hold Preference Shares

The preference share issue changed paragraphs 7,14,18,20,23&43 in the Articles of Association in October, if they've only changed para 23 I'm deducing preference shares still exist.

The THAL prospectus for the application to the full list was supposedly being issued in the week commencing 21st January...anybody seen anything?

THAL sliding due to halting of buyback and no other buyers due to any new purchases being effectively non voting.

You would hope the Preference Share issue is resolved with the extra flexibility a main market listing provides.
