Annual General Meeting held on 28 November 2022

The European Smaller Companies Trust PLC (the 'Company') announces that at the 32(nd) Annual General Meeting held earlier today all resolutions proposed were duly passed on a show of hands. This included three items passed under a special resolution:

- to authorise the directors to allot up to 5% of the issued ordinary share capital without first offering them to existing shareholders in accordance with statutory pre-emption procedures;

- to authorise the Company to make market purchases of its own ordinary shares up to 14.99% of the issued share capital at the date of the passing of the resolution;

- to hold general meetings other than an annual general meeting on not less than 14 clear days' notice.

The Company further confirms that Mr Alexander Mettenheimer has retired as a director of the Board.
