BAMES settlement agreement

London, 19 March 2019 - Telit Communications PLC ("Telit", "the Group", AIM: TCM), a global enabler of the Internet of Things (IoT), has reached a settlement on the legal proceedings regarding the Group and Bartolini After Market Electronic Services Srl ("BAMES").

Telit reached a settlement agreement approved by the court according to which it will pay, without any admission of liability and against a waiver from the administrators of BAMES of all claims against Telit in this respect, an amount of EUR840,000 plus approximately EUR21,000 of legal costs. This agreement has been entered into by Telit in order to bring certainty and closure to the matter between the Group and the administrators of BAMES.

As previously disclosed, between 2007 and 2010, Telit and its Italian subsidiaries were parties to several agreements with BAMES and its subsidiary. In 2013, BAMES went into liquidation. In 2016, Telit became aware of a criminal investigation against a number of parties with respect to BAMES' insolvency including Telit's former CEO. In July 2018, Telit was informed that the administrators to BAMES had taken steps to bring a civil claim against Telit regarding its involvement with BAMES.

so completion effected when according to sweet karolina it was in doubt. Alleged fears (possibly for shorting purposes) incorrect. Latest appears to be a fear that balance of consideration will not be paid. If it is paid sweet karolina may move on.

Solutions NV (“Telit Belgium”) to TUS for a total consideration of $105 million. Telit has
received $67.5 million in cash, including $1 million on account of the cash and working capital
position of the disposed business, and has granted TUS a short-term vendor loan of $38.5m

Yes I have been following Trd.l for years.
and was planning to put the profits from Tcm.l into Triad once this was bought out.

I think the delay here, as long as the presumed take over still goes ahead quite soon, will actually work out better now that the flooding of the market of the bankrupt shareholder of Triad Group has stopped and now the share price is poised to increase.

There has been an internal game playing since the rather short, about 5 minutes long AGM. It looks like a shuffle and repositioning of staff to gain a friendly setup for a different future for this company. I predicted a take over about a year ago and that didn’t happen.
