Thanks, that makes it clearer regarding exit timings on taking some off the table. If I did keep a % after the deal, the aim was rather for the end game to maximise profits, than to get a slight improvement on the deal price the following month or two. Happy for the long game, but just a bit concerned now about shakers post

Jmid, you can move any number of shares off the table while they are still quoted as a public company. As you will have seen the price has fluctuated between 0.95 and 1.01 since the offer. If you stay in until the deal is done you will have the opportunity to sell at the offer price some or all of your shares. If you stay in post the deal, you will have to offer your shares through a broker to get the best price they can from other investors/shareholders. I for instance would buy your shares at 0.98p

Yes it's that that worries me, taking money out of the company to pay themselves big bonuses, happened to me before on an AIM share. Definitely food for thought

Thanks 1224saj, I have just shy of 10,000 shares (ex employee made redundant by the move to Salford). If no counter offer comes forth (and it's not thrown out of court in March) I'd like to let half of it ride in the new company if they allow pi's to stay in. Happy to wait 5 years or so. Do you know if you can decide an amount to sell? Or would I have to reduce my holding accordingly before the deadline? TIA

Sure. Charlie has a plan to benefit himself, his board and executives at the expense of other shareholders. And any one who expects regulators to protect small shareholders is in for a disappointment. Regulators are not the smartest (smart guys/gal's earn big bucks working for city advisors) and want a quiet life.
Sadly they know they can get away with it.

FTP, I agree. But there has to be some sort of governance, even in a private company. If they start paying divi's say 5% and then take cash out of the business by way of bonuses to the board that are way out of sync, these actions can be challenged by any shareholder. There are risks here, but I think Dunstone has a big picture plan?

Jmi, having spent the last 30 years in telecoms and have a respectful holding in TT, my crystal ball is like everybody else. There are a lot of keys to this door. Why did Tosca offer a higher price last year? Their pitch to their investors are double digit returns. One just has to look who sits behind Tosca and who has the most shares in TT, two players who are no fools and have made serious money in the past. Not forgetting how much Dunstone paid for more shares in 2019/2020

My concern is that if they can extract cash equal to the value of the investment they won't care about the share price. Some sort of payments crated under a new board structure.For a company that is not publicly listed the share price means very little.

I don't need the money as such but I'm losing in my investment if I take the cash. They'll probably want you to sell up and not be a holder in TOSCA.

Jdrw, nobody knows how long Tosca will hold the investment, but there will be an exit plan, usually 3 or 4 years. During that time Dunstone and others will be totally relying on divi's for their investment. The market will only be through brokers and will be dictated by the pool of shareholders. As a shareholder you will informed by annual reports. The risk reward here is Dunstones 300m investment, is he going to let Tosca become cavalier, I don't think so. Also remember Tosca currently only own 29% of the stock.

Unless, like Redex, they decide to keep a listing, and mop up some naysayers before the eventual float. Depending how big the naysayer rump is.

There will not be a market as such. You're shares can be offered through a broker to other shareholders, what they will offer you is another question. I think it's wait, take the divi's and payday when it's sold again or relisted?

The trouble is, time is not on my side. Ideally, I'd wait 3 years, ride on the tails of the thieves, take big dividends ( we all know how Charlie boy likes his divi's ) and then when they float again, in for a huge payday. A share is a share, no matter how they try to dilute in the divi/float pay day

There it is then. Court meeting & GM 1st March, anticipated effective date 12th March.

Those are the 2 key dates that any prospective counter-bidder will need to focus on. Do they wait for the meetings to see if minority shareholders manage to throw the deal out, or do they move ahead of that? I have to say the price action suggests to me the market is now expecting the deal to go through as is, with a very low probability assigned to a counter-offer.
