Directors' disclosures

The Company makes the following disclosures pursuant to Rule 17 and Schedule Two (g) of the AIM Rules for Companies

Derek Zissman, non-executive director of the Company, was a director of Seymour Pierce Holdings Ltd and Tenebris Realisations Ltd (previously Seymour Pierce Ltd) which appointed administrators in February 2013 whilst Mr Zissman was a director. Both companies were later dissolved with shortfalls to creditors.

Robert Legget was a director of Unisoft Ltd which appointed liquidators in November 2001 for a creditors' voluntary liquidation and there was a shortfall on an intercompany loan owed to Unisoft Ltd's parent company. The company was dissolved in September 2004.

At the time of the Company's admission to AIM in May 2017, Michael McMahon, a director of the Company, was a director of the following subsidiaries of the Group: Everwarm Limited, Sureserve Holdings Limited (formerly Lakehouse Holdings Limited), Sureserve Energy Services Limited (formerly Lakehouse Energy Services Limited), Providor Limited, Smart Metering Limited, Sureserve Compliance Services Limited (formerly Lakehouse Compliance Services Limited), Bury Metering Services Limited, Aaron Heating Services Limited, Aaron Services Limited, Allied Protection Limited, F J Jones Heating Engineers Limited, F J Jones Holdings Limited, H2O nationwide Limited, K&T Heating Services Limited, Lakehouse Construction Services Limited, PLS Holdings Limited, PLS Industries Ltd, PLS Grp Ltd, Precision Lift Services Limited, Speedfit Ltd, Sure Maintenance Group Limited, Sure Maintenance Limited, Sureserve Design & Build Limited (formerly Lakehouse Design & Build Limited), Sureserve Property Investments Limited (formerly Lakehouse Property Investments Limited), Lakehouse Contracts Limited and had been, in the previous five years, a director of the following subsidiaries (or former subsidiaries) of the Group: Orchard (Holdings) UK Limited, Orchard Energy Limited, Foster Property Maintenance Limited, Orchard Utilities Limited, Orchard Water Limited, Smart Metering Commercial Installations Limited, Smart Metering Domestic Installations Limited, Smart Metering Modules Limited, and Insulation Direct Services Ltd; and had been a director of the following non Group companies: MMCM Services Ltd, MMCM Enterprises Ltd; these appointments were omitted from the Appendix to the Schedule 1 announcement which was issued on 10 May 2017 and is available from the Company's website. Lakehouse Contracts Limited, of which Michael was a director as stated above until the company was sold by the Group in August 2018, appointed administrator in March 2019.

There are no further disclosures to be made pursuant to Rule 17 of the AIM Rules for Companies.
