Notification of Transaction by Directors / PDMR's

At the Annual General Meeting held on 19 March 2019 shareholders approved the creation of the Sureserve Group plc Special Incentive Award Plan and the Sureserve Group plc Long Term Incentive Plan.

The two Schemes were subsequently adopted by resolution of the Board of Directors on 9 May 2019 and awards under the Schemes were notified to Bob Holt and Michael McMahon on 15 May 2019 effective from admission of the new ordinary shares under the Sureserve Group plc Long Term Incentive Plan to AIM expected on 23 May 2019.

Under the Sureserve Group plc Special Incentive Award Plan, Bob Holt and Michael McMahon were both granted options to acquire 800,000 ordinary shares each in the capital of Sureserve Group plc ("Ordinary Shares"), subject to the performance and vesting conditions of the Scheme.

Under the Sureserve Group plc Long Term Incentive, Plan Bob Holt was granted an option to acquire 1,153,846 Ordinary Shares and Michael McMahon was granted an option to acquire 250,000 Ordinary Shares in the capital of Sureserve Group plc.

Application for admission of 1,403,846 new Ordinary Shares (the "New Ordinary Shares") to trading on AIM has been made and dealings in the New Ordinary Shares are expected to commence at 8.00 a.m. on 23 May 2019. The New Ordinary Shares will rank pari-passu with the Company's existing issued ordinary shares.

Total Voting Rights

Following admission of the New Ordinary Shares, the total number of Ordinary Shares in issue will be 158,947,467. The Company does not hold any Ordinary Shares in treasury. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
