Market cap is only £15m. And this platform business is all about economies of scale. Investing £1-2m a year on deals would be very accretive.

As with all of these platforms it is about scale. The deal announced today doubles the size of the Options business in the UK. If management can identify a pipeline of similar bolt on deals across its geographies this would be transformative to earnings.

They are paying less than 4x EBIT for it. It will be earnings accretive in a matter of months.

...over the last 0-3 years the co. has not delivered much/any organic growth in turnover and/or profit, I think. That needs to change if the share price is gonna go up noticeably.

If you value STMĀ“s business as they have now valued this target, it would be MUCH MUCH better for STM shareholders if the company is put up for sale itself. 50p+ should easily be achievable. This was NOT a good acquisition.

Well that’s one little tack on but it’s going to take a long time before it becomes earnings enhancing.

All seems a bit desperate to try to achieve critical mass.

I haven't dug thru the results to see the underlying numbers

But overall it doesn't look 'ideal', & the mkt is not enthused, with the share price down.

The new FD didn't stay long.
If they get a loss of office pay out of £200-£300k that would be just nuts imo !!

Well results are out. I wonder if it was that large provision that caused the delay? At least it's fully recoverable from their insurers.

I really think that Carey court decision was wrong, execution only should mean just that, if you take unregulated advice and then lose your money you've only got yourself to blame imo. It's just going to add a whole new layer of cost to the industry and I expect i'll end up paying it through my SIPP.

Had all sorts of hassles logging in here to post earlier so I missed catching up on company news. It’ll be interesting to see if any proper explanation of the delay is forthcoming.

Re any disclosure issue, I don't think the CFO has been a regulator though. Her profile says that she was a Chief financial accountant at the Bank of England which probably means running the Banks internal finances rather than being involved with their regulatory remit.
Tuesdays always seem popular so I wouldn't be surprised if we get an RNS tomorrow or a week tomorrow.

I rang up the PR company about a week ago and asked them about the delay in issuing the accounts and was given the reply which I recollect as:
All issues have to been resolved and it is with the auditors now. All the narrative has been completed. I suggested that I could therefore expect the accounts to be issued within the next 2 weeks which was not challenged. Once the auditors have agreed their report, there will need to be a board meeting to formally approve the accounts before they can be issued.
He was quite emphatic that the existing guidance still held and there was nothing serious in the delay that would cause a RNS to be issued. Obviously the PR rep was cautious and measured in what he said, so there no point in continuing further with what was an amicable conversation.

I was thinking that as the new CFO came from a regulatory background that the delay may possibly be a disclosure issue.

I think fraud is probably unlikely, if they'd discovered anything they would have had to announce it by now and possibly suspend the shares until more was known.

I think you're probably closer to the mark with your first two suggestions.

Hopefully we'll find out soon.

Yes it is concerning isn't it. I don't mind if the results are poor as long as they actually have that cash they claim. If they and we have been defrauded then the whole rationale for holding these shares is shot.
