Spinnaker Opportunities, a cash shell company on the main market, last month said it was planning a reverse takeover of medicinal cannabis oils and vapour producer Kanabo. If it completes as expected by the summer, it could be the first of its kind on the main market.

Nick Davis, chief executive of law firm Memery Crystal, which is advising a number of cannabis companies on London floats and fundraisings, said he knows of another four companies looking to list on the London Stock Exchange this year. One is eyeing the main market while the other three are targeting AIM

Fundraising to establish an organic cannabidiol operation

At 4.30 p.m. on 19 March 2019, Highlands, the London-listed natural resources company, issued an announcement through RNS (the "Announcement") of a fundraising to raise a minimum of GBP1.27 million via a subscription for ordinary shares of 1 pence each and an offer for ordinary shares via PrimaryBid.com (the "Offer") at a price of 8.5 pence (the "Issue Price"), being a discount of approximately 20.9% per cent to the closing mid-price on 18 March 2019.

The funds raised by way of the Offer will be used to establish an organic, vertically integrated cannabidiol ("CBD") operation in Colorado, in the United States, through a newly established and wholly-owned Highlands subsidiary, Zoetic Organics, further details of which are set out in the Announcement which should be read in its entirety.

UK’s first medical cannabis clinic opens in Greater Manchester, The UK’s first specialist medical cannabis clinic has opened in Greater Manchester.
It follows the government announcement that specialist doctors could prescribe cannabis products to patients for medicinal use from November.
The decisions by medics need to be made on a case-by-case basis and only when the patient has an unmet special clinical need that cannot be met by licensed products.

The clinical director at The Beeches private health centre, next to the Alexandra Hospital in Cheadle, is Professor Mike Barnes, who helped secure the first medicinal cannabis licence for young epilepsy sufferer Alfie Dingley.

Prof Barnes said: “Patients suffering from chronic pain and other serious “This clinic will represent a lifeline to those who have found other treatments ineffective. This also brings the UK into line with other countries when it comes to pain management.
“The hope is that over time patients all around the country and not just in Manchester will have access to the relief that they need.”

SATI, on NEX up more than a third since Friday





The Nex Exchange-listed company’s board noted the recent, significant increase in media and investor interest in the medical cannabis market, including a statement from the UK Home Secretary earlier this week highlighting the potential legalisation of cannabis for medicinal use in the UK.

"As the UK's only quoted medicinal cannabis company, the board believes Sativa is increasingly being viewed by the UK investment community as the de-facto UK investment vehicle for the sector, leading to the recent share price strength and enhanced demand for the company's shares," it said in its statement.

Sativa is one of just three tiny investment vehicles focused on medicinal cannabis. Ananda Developments Plc and High Growth Capital Plc are the others, and all of them are listed on London’s small-cap NEX exchange. Investment group High Growth Capital pivoted to cannabis from sports data, demonstrating the feverish attraction of the pot market. So far, the only heavy hitter to have come aboard is tobacco giant Imperial Brands Plc, which invested in a medical cannabis startup in June.



The sums involved are small fry compared to the cash swilling around Canada’s pot industry. Of the three vehicles, Sativa raised the most, 1.1 million pounds ($1.3 million), when it listed in March. Compare that to Tilray’s $11.5 billion market capitalization, or over $14 billion for Canopy Growth.

Before long, London is expected to welcome Britain’s first listed cannabis operating company. Spinnaker Opportunities was a cash shell on the lookout for companies to buy in the energy and industrial sectors. But halfway through last year it was attracted by the alluring whiff of the cannabis industry and its meteoric growth. It has announced plans to buy Kanabo, a research company focused on cannabis oil, medically approved vaporisers and cannabis cultivation, with a view to a stock market listing likely to value the company at up to £30m.

“Europe could and should exceed North America in terms of demand, on a like-for-like basis,” says Spinnaker’s chairman, Andy Morrison. “Should recreational use come to Europe it could ultimately be bigger. It’s an industry that could rival tobacco and alcohol in terms of its impact in the world.”
