24/8/2017 12:04 | The re-financing documents are now available on the Sphere Medical web site: This one gives the terms for the convertible preference shares which look fairly standard to me The convertible preference shares have an 8% (compound) coupon, which is payable in additional preference shares. The effect of this will be to increase the potential dilution of the ordinary shares as time goes by, so for example the number of preference shares would double in the event that an IPO or trade sale occurred after 9 years, or they would increase by just under 50% (i.e. 47%) if an IPO or trade sale were to occur at 5 years. In addition, the preference shares have preference over the ordinary shares when the company is sold (or liquidated). This preference would have no adverse effect on ordinary shareholders if the company were to be sold for a shed load (for example £100m) in a few years time, however, if the sale proceeds were to be only £5m (or less), Preference shareholders would receive all of the payment and ordinary shareholders would receive nothing. Given that any new investment in Sphere Medical is likely to end up in a binary death or glory scenario, any PI contemplating a new investment in Sphere should consider buying the ordinary shares in the market at 1.1p or thereabouts, rather than subscribing for the preference shares (plus warrants) at 2.8p/ share. | timbo003 | |

(I would be surprised if Wolfgang stayed on) 2) Have you got any other investors lined up for the second round of fund raising and if so, how much have they committed to investing and can you say who they are? 3) Will your cash runway be large enough to get to break-even if you raise just 2 X £5m from Woodford and Evans? Will it be enough if you raise an additional 2 X £3m from other investors? 4) Do you anticipate that minority shareholders will have pre-emption rights for any future fund raising (beyond that already flagged)? 5) What other analytes do you plan to include (in addition to lactate) for the US market? | timbo003 | |

You have to take responsibility for your own investment decisions. If the thread was started in March 2015, you've had 18 months to research competitors and satisfy yourself as to the validity of Del's statement. And today...more then any other day over the last 5 years....I have lost money....money that has taken me quite a few years to earn I might add....But I cant be bitter over it...I bought shares in a company and I lost....it happens......it was hard earned money I lost not borrowed money.... Thankfully I can continue working.......I started the thread because I believed the company was going to make sales....it is common for shares to have more then one thread....
