17/5/2017 13:00 | As the loan note holders include management and board, who have been buying in the market when it would have been cheaper and more profitable to take up conversion rights, most level headed people will come to one conclusion. That is they are in no rush to convert if at all especially as they agreed to put the repay date for the loan back to 2019. If you wish to assume they will convert rather than take their cash back, (and nobody knows for certain what the intention is) then you also should look at the position the company may be in two years from now assuming the same rate of growth and cash generation. Personally I would welcome more shares in issue to negate the miniscule amount of stock transfer required to give a disproportionate jolt of the SP, plus the chasmic spread. I did toy with mailing the company advisors to suggest a 3 for 1 share split to make them more marketable but in all honesty they shouldn't need me to tell them that. I think with these instruments the decision to convert or take money lies with the loan note holder so highly likely to be conversion. at a converted sharecapital the effective market cap should really be adjusted upwards to where it is stated today on most sites ... assuming no movement in share price. I would agree that hope the company progresses such that will become not so relevant. | meganxmas | |

17/5/2017 08:38 | I am swithering on buying back in here ... on one hand I suspect trading is going very well and on face value there are very attractive valuation metrics. On the other hand there are £2m of loan notes ... not repayable until 2019 BUT convertible at 76.5 pence ... ie 2,614,379 new shares if converted. This is against 7,361,365 shares at dec 2016 ie circa 26% potential dilution ... so when looking at eps calcs remember to factor this in. Am i correct or misunderstanding ? | meganxmas | |

11/5/2017 19:31 | Good work lkd100. The only explanation for this stupid movement in the stock is that without a dividend it has become a trading stock, pure and simple. No news, no buys. Serves us right for not trading it. I remember looking at it at 510 in March and thinking 'I should sell that,' but did I, no, just like I didn't at the end of AUgust 2016. Daft beggar. You will be aware that as a public company, Sopheon is required to make an announcement if it becomes aware of a material change to its circumstances that is price sensitive. Our last trading announcement was the 2016 results statement released on 23 March, and all announcements issued since then have related to relatively small share transfers and issuances. Accordingly, you may infer that no announcement has been made that changes the overall perspective given in the 2016 results announcement. In previous years, we have updated shareholders on progress on the day of our Annual General Meeting (AGM) and would expect to do the same this year. The upcoming AGM is scheduled for June 8, 2017.
