OPTI shareholders didn't like todays RNS so the share price fell to the October support level because OPTI have not given any definitive details + no revenue projections.

YOU ARE THE VERY PEOPLE WHO FLOODED THIS THREAD WITH OPTI HYPE and your version of the business.

Try posting about SkinBio as I have said many times this is the SkinBio thread...APPLES ARE NOT BANANAS they are still apples no matter how many times you insisted the opposite. My view has not changed.

SBTX is a better investment.

Slarty - leave mate. Had I had any respect for Bob, an apology would mean something. However, given he has lost the BB it would be hollow. Just filter him. As Lougeact has pointed out, the BB is trashed. There is little to be said of SBTX at this stage, so I guess not much damage has been done.

Stop with the lies bob. Nobody said sbtx is a sub of opti, it was very clear it was a sub before the ipo. You twisted this to suit your agenda. You should apologise for calling elrico a 'con artist' for posting the divi info and making clear sbtx was a sub before the ipo and opti is a major shareholder and effectively has a controlling 42% voting rights. All this is factual. Yet no apology from you. Back in your closet then bob. Please stay they because you add nothing to this thread.

I shall be busy for most of this week --- SO HYPE AWAY ABOUT OPTI AS THATS YOUR VOCATION.

It is in my view a better deal to invest in SBTX and spun out businesses from OPTI for all the reasons above.

Everything I have said about OPTI is true.

SBTX IS NOT A SUBSIDIARY --- hence tax on inspecie shares if it happens..VAT AND SDLT TAXES

If that type of dividend happens it will have to be an interim dividend.

OPTI IS NOT A MAJORITY SHAREHOLDER --- IT IS CALLED A MAJOR SHAREHOLDER

MORE LEGAL HURDLES FOR FREE SHARES

UNLIKELY TO GIVE FREE SHARES ON A 1:1 RATIO...MORE LIKE 1;200 OR 1:400 RATIOS...and even those ratios are not certain.

OPTI IS EFFECTIVELY DEPLETING ITS OWN VALUE BY GIVING AWAY ASSETS.

OPTI appears to behave like a Venture Capital business for Uni projects.

SO NOTHING TO APPOLOGISE ABOUT --- in fact the OPTI gurus have made a lot of mistakes by not understanding legal terminology for listed plc's...and then there will be Anti-Trust Laws OPTI will need to satisfy for the free shares issue to happen---hence the caviats in the RNS.

For OPTI shareholders here are a few things to consider before accepting free shares from a taxation point of view, VAT AND SDLT TAXES and SBTX is not a SUBSIDIARY:

Dividends in Specie


A Dividend in Specie is a dividend which is satisfied in assets as opposed to cash. You may wish to transfer property, equipment or other assets to your shareholders instead of, or, as well as a cash asset. There are various aspects that your board of Directors will need to consider. Here are a few common ones:-

1. Will I have to pay Stamp Duty Land Tax (SDLT)?
The main query that arises in relation to a Dividend in Specie is whether SDLT is payable on the transfer of the property. This depends on whether there is chargeable consideration, and this will largely depend on your individual circumstances.

If the consideration is for money or money’s worth then HMRC will expect SDLT to be paid on the transfer.  An example of money’s worth is when you transfer property to satisfy or release a debt that the shareholder has over the company. Alternatively your shareholder may agree to take on an existing mortgage over the asset, these are examples of chargeable consideration and SDLT is payable.

Where there is a transfer of assets between group companies, the transferee company should be able to rely upon relief under the Finance Act.

2. Will I have to pay VAT?

When a company disposes of assets, whether or not for consideration, then that will be a supply of goods for the purposes of VAT. There are some exemptions, for example if there is a transfer of a going concern.

So a Dividend in Specie can fall to be a supply of goods for VAT purposes. The next step is to establish the VAT status and whether it falls outside the scope of VAT.

If you are transferring land then it is most likely an exempt supply under schedule 9 and therefore no VAT is payable – however there are some exceptions including disposals relating to holiday homes, camping, parking, and rights to take game or fish.

Finally, has the property ever been elected previously as chargeable to VAT? e.g. has there been a taxed lease? If so, then the transfer is likely to be chargeable to VAT.

3. Deciding to declare a Dividend in Specie

Some key points to remember:-

• Check your Articles to ensure that the company has the authority to pay an interim dividend in specie (if applicable). If you are not sure then contact one of our Corporate Law specialists.
• When your board resolves to declare a dividend in specie, be wary of the wording as this will depend on what method your articles allow (if any).
• Dividends in Specie are best declared as interim dividends (where your articles allow) as the Directors have much more flexibility relating to an Interim Dividend than a Final Dividend.
• Check that there are sufficient distributable reserves in the company to declare the Dividend in Specie.

Just read this mornings RNS....plans to pay a dividend in the future with the possibility of giving away free shares. The much touted 1:1 ratio of free shares is not likely but an equivalent dividend of 0.5% is more likely at the current share price values.

If that happens shareholders in OPTI can expect a ratio of approx: 1:200 with an share price of 10p and a ratio of about 1:400 if the share price doubles in the mean time.

THE NEWS TODAY IS ALSO LOADED WITH A CAVIAT AT THE END --- 'IF' (should circumstances in the future make it desirable to do so.)

The proposed capital reduction will cancel the Company's share premium account. This will create distributable reserves which will be available for the directors of the Company to use for the purposes of paying dividends, either in cash or 'in specie', should circumstances in the future make it desirable to do so.

However it is commendable that SOH is trying his level best for OPTI shareholders. But where are those projected revenue numbers to make dividends happen...NOTHING YET PUBLISHED.

Well Bob - there you have it, an RNS clearly stating OPTI's intent to pay a "dividend in specie to the Company's shareholders of shares it holds in SkinBioTherapeutics plc, should it be appropriate to do so." And before you babble on about the legal hurdles again, I refer you to a court case at Manchester's chancery where several million shares were cancelled. As I stated at the time, this was an admin process to pave the way for the "dividend in specie."

Feel free to apologise to me for calling me a "con artist" if you are man enough.

OptiBiotix Health plc (AIM: OPTI), a life sciences business developing compounds to tackle obesity, high cholesterol, diabetes and skin care, announces that it intends to convene a General Meeting ("GM") to seek shareholder consent to undertake a share capital re-organisation to allow the Company to make future dividend payments. There will be no change in the number of Ordinary Shares in issue (or their nominal value) following the capital re-organisation.

The proposed capital reduction will cancel the Company's share premium account. This will create distributable reserves which will be available for the directors of the Company to use for the purposes of paying dividends, either in cash or 'in specie', should circumstances in the future make it desirable to do so.

The capital re-organisation requires both shareholder consent and the approval of the Court. Following the GM, if approved, an application will be made to the Court in order to confirm and approve the Capital Reduction.

Further details will be provided in the notice of AGM.

Stephen O'Hara, CEO of OptiBiotix, commented: "I am pleased to inform shareholders of our plans to allow the Company to make future dividend payments. Answer this: Is OPTI actually setup as a Venture Capital Company taking Uni research to the market as finished products and then swapping their investment to debt for equity once the spun out business has its IPO.

If a nerd like you can wrap your head around that in a holistic way I will be very impressed...but I doubt you can.
