05/11/2018 13:58 | Financial Times David Sheppard "Serica Energy has agreed a deal to buy BHP Billiton’s stake in two North Sea fields, taking it above 90 per cent ownership of the assets. Under the deal, which follows earlier agreements with BP and Total to take ownership of their stakes in the same fields, Serica will acquire a further a further 16 per cent interest in the Bruce field and a 31.83 per cent interest in the Keith field and associated infrastructure. That will take Serica’s ownership of the Bruce and Keith fields to 94.25 per cent and 91.67 per cent respectively upon completion of the three deals, while it has also taken BP’s stake in Rhum. Together the three fields provide approximately 5 per cent of UK gas supply. Mitch Flegg, chief executive of Serica Energy said: This acquisition, in addition to the previously announced transactions with BP and Total, place us in an even better position to unlock increased value from the assets and benefit from economies of scale. This will represent a major transformation for Serica in becoming one of the leading UK independent offshore operators and producers in the North Sea. The deal has been structured so that Serica only pays $1m upfront initially with BHP retaining 40 per cent of post-tax cash flows for the next three years. BHP will also receive between 40 and 60 per cent of the pre-tax cash flows on a sliding scale between 2018 and the end of 2021, but retains a large portion of the decommissioning liabilities..." | bountyhunter |
