Let's remind ourselves of the European TAM and opportunity laid out for us 15 months ago when we announced our one and only RNS for Gen 3. Note the market size and yet these contracts amount to just 1% of the European market. 15 months later nothing has been sold, manufactured or installed. No new contracts awarded. The first GSR delivered nothing. The product was a dog, but they were silent about the issues.

Now we have GSR 2 to look forward to and the global production of just 24K units.

Seeing Machines to supply Guardian Generation 3 to leading European and UK Commercial and Bus Manufacturers

Seeing Machines Limited (AIM: SEE, "Seeing Machines" or the "Company"), the advanced computer vision technology company that designs AI-powered operator monitoring systems to improve transport safety, announces its appointment by three prominent commercial and bus manufacturers, in Europe and the United Kingdom, to supply its innovative Guardian Generation 3 driver safety system.

As Europe's General Safety Regulation (GSR), targeting all cars, vans, trucks and buses, comes into effect in July, these orders take Guardian Generation 3, the latest version of Seeing Machines' driver fatigue and distraction technology solution, into the growing After Manufacture (factory-fit) segment of the market.

Seeing Machines plans to begin the roll out of Guardian Generation 3 during the fourth quarter of FY2024 (April - June 2024) across six heavy vehicle models in five distinct manufacturing locations with these OEM customers. The initial focus will be to ensure compliance with Driver Drowsiness and Attention Warning (DDAW), followed by Advanced Driver Distraction Warning (ADDW). Together, these customers represent a significant opportunity of around 3,000 vehicles per annum, based on initial order volumes.

Guardian Generation 3 leverages Seeing Machines' automotive grade technology with refined microsleep detection and eye-gaze tracking to protect drivers from risks associated with drowsy and distracted driving.

Guardian Generation 3, launched at CES 2024 this week in Las Vegas, has been independently tested and confirmed to comply with Europe's GSR. In 2023, it is estimated that over 330,000 commercial vehicles were manufactured[1], and every vehicle will need technology that reliably detects and responds to driver drowsiness from July 2024, escalating to distraction from 2026. How do you explain why G3 isn't being adopted by OEM for after manufacture?

Guardian Generation 3 has been homologated at Wrightbus. We continue to work with commercial vehicle OEMs to progress this process with them. There are processes in play at the moment and we will announce when those have been successful. It’s important to note that when a commercial vehicle manufacturer targets ‘homologation’ this is not limited to Guardian, but the entire vehicle and the technology within. Therefore, timeframes can vary and many factors need to be taken into account.

More BS. They have never targeted 35% market share. It was 50% and then lowered to 40%. They have downgraded expectations again to 35%.

Question 21:

Smarteye and Cipia seem to have all the momentum and caught up with SEE with their various products. They seem to be punching well above their weight when compared to SEE. How does the CEO see the competition now and his market share forecasts?

We respect our competition and have never targeted monopoly status. Seeing Machines remains on target to achieve around 35% market share in Automotive.

Who are the competitors for commercial vehicles DMS / Guardian that you mention?

Our main competitors in this space remain as Cipia Vision and Smart Eye. There are many other suppliers in the Aftermarket fitment of DMS and Telematics. But the two mentioned above are also targeting After Manufacture fitment in Europe to support the GSR.

Gen 3 was all about the opportunities for after manufacturer with commercial vehicle oem's and not after market with fleet managers. At the last town hall a staggering 2.5 years ago you said there were 330K commercial vehicles manufactured in Europe per year and you had PO'S for thousands of Gen 3. Where are the sales? Where are the contracts with oem's?

We continue to work with a range of commercial vehicle OEMs as they plan for compliance in Europe.

With less than 15 months to go before GSR 2 forces commercial vehicle oem's to fit camera based ADDW systems who are the competition for the 330K European market? 2.5 years ago Guardian was the only show in town. Who are the competition now? Why has there only been 1 Homologation process achieved with one OEM? Again where and why have commercial vehicle manufacturers not awarded contracts to SEE?

Guardian has never been the only show in town and our competitor ecosystem remains reasonably crowded. We generally compete against Smart Eye, Cipia, Netradyne and Samsara. In the US, Lytx and Nauto are also serious contenders.

It's official. Paul McGlone let's investors down yet again by failing to deliver any new oem contracts in early 2025 as promised. The guy can't help himself lying, deceiving or just failing to deliver.

The investors meet q and a provided no clarity on why Guardian 3 sales and production are going to be pitiful. The one point he did clarify was the lie he peddled 2 years ago about the fact there were very few dms providers in trucks. Now he says there's "many".

No clarity why he's now downgraded the market share for auto to 35%.

No wonder institutional investors are selling out.

Q3 FY2025 KPI highlights:



- Cars on the road with Seeing Machines' technology increased to 3,241,907 units, representing an increase of 77% from 12 months ago (Q3 FY2024: 1,830,207)

- Quarterly production of 358,162 units, up 34% from the previous quarter (Q2 FY2025: 266,654) and up 14% from the previous corresponding quarter (Q3 FY2024: 313,662), demonstrating continued year on year growth, as well as quarter on quarter recovery following the unexpected dip in Q2 FY2025, in line with weakness across the wider automotive market

- For FY2025 year to date, automotive production volumes total ~1.03m compared with cumulative total of 0.74m for the corresponding period in FY2024, representing growth of ~39%

- Commercial production of Guardian Generation 3 commenced at the end of March 2025, contributing to hardware sales for the quarter which are set to increase as production run rate reaches approximately 6,000 units per quarter, by the end of June 2025

- The Referral Agreement with Mitsubishi Electric Automotive America (MEAA) to support sales of Guardian Generation 3 in the Americas, was signed in February. A joint sales plan has been agreed and activities are currently rolling out across North America following the two companies' combined attendance at the American Trucking Association Technology & Maintenance Conference in Nashville in March 2025
