Confirmation of issued share Capital
Conversion of Options and Issue of Equity
It has come to the Company's attention that 225 depositary interests of no par value in the Company, which were to be admitted to trading pursuant to the share consolidation undertaken by the Company and announced by it on 25 August 2017 ("Depositary Interest"), had not been admitted to trading on AIM. Accordingly, the Company has applied for the Depositary Interest to be admitted to trading on AIM with such admission due to take place at 8.00 a.m. on or around 25 September 2018.
The admission of the Depositary Interest does not change any of the Company's previous announcements of the total number of depositary interests or voting rights in issue.
The Company also announces that 331 fully paid ordinary Scotgold shares ("Option Shares") were issued by the Company on 05 June 2018 on conversion of 331 options exercisable at GBP0.40 on or before 31 December 2019.
Application has been made for the 331 Option Shares to be admitted to trading on AIM ("Admission") and Admission is expected to take place on or around 25 September 2018.
Following Admission, the Company's enlarged issued share capital will therefore comprise 42,911,585 ordinary shares with voting rights. The Company does not hold any shares in treasury, therefore the total number of shares in the Company with voting rights will be 42,911,585. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
