Notification of Transactions by Persons Discharging Managerial Responsibilities ("PDMRs")

This notification relates to transactions notified in accordance with Article 19 of the Market Abuse Regulation.

Jonathan Howell, Chief Financial Officer and PDMR, was granted a conditional award on 11 December 2018, to replace share awards that he forfeited at Close Brothers when he was appointed Chief Financial Officer of the Company (the "Sage Buy Out Award"). In accordance with the terms and performance conditions of the Sage Buy Out Award, 46,041 ordinary shares of 1(4/77) pence each in the Company vested on 3 October 2020, and were subject to a two-year holding period, until 3 October 2022, when they became eligible for release. The release was deferred to 16 November 2022, due to closed period share dealing restrictions.

On 16 November 2022, the Sage Buy Out Award was settled using shares held in trust by Intertrust Employee Benefit Trustee Limited as trustee of The Sage Group plc. Employee Benefit Trust. On 17 November 2022, the Company was notified that on 16 November 2022, Jonathan Howell disposed of a number of ordinary shares of 1(4/77) pence each, in respect of which he had become beneficially entitled, to cover tax obligations arising from the release.
