Agreed momnions101. The meeting to approve is in July, so hopefully the cash will come through in August rather than say the end of September assuming all goes through smoothly. That's only 2-3 months away.

@andy. The way I read it is that the 7.22p div is in the bag and the 436p bid is on top of that. The extra wording covers just in case the General Meeting or board decide to give a higher div. So for instance if they decided to give 8.22p then 1p would be subtracted from the bid price. Confusing way to word it, but I guess they are just covering themselves.

You won't get the cash from the takeover until the third quarter of this year so you have to balance getting less cash now or more cash then.

Can anyone clarify the dividend payment: From the RNS: "In addition, SafeCharge Shareholders shall remain entitled to receive the previously announced final dividend of 7.22 pence (payable in Sterling and equivalent to $0.0945 based on a GBP/USD exchange rate of $1.3085 to GBP1, being an exchange rate set by SafeCharge on 12 March 2019) per SafeCharge Share (subject to shareholder approval at the annual general meeting of SafeCharge to be held today) payable on 24 May 2019. However, the price of $5.55 for each SafeCharge Share shall be reduced to the extent that this final dividend exceeds 7.22 pence per SafeCharge Share. SafeCharge does not intend to pay any further dividends prior to the Effective Date." The take over price is 436 pence and dividend is 7.22 pence. Does this mean we will get the 7.22 p dividend then 436 pence per share? Or is the price reduced to account for the dividend payment? TIA.

Nice - taken out at 436p :o)) Would have been preferable in some ways to keep long-term, but this is a decent premium. Given that Sagi has recommended the deal it's probably unlikely there will be a successful counter-bid I had similar sentiments with my holding in EUSP, which was also taken over just the other day. I suspect the weakness of the pound has something to do with these overseas takeovers of UK-based companies.
