Exercise and Sale of Options

S&U plc announces that it has today received notice of the exercise in respect of options granted to Mr John Guy Thompson, a director of S&U plc; 2,500 options under the Company's 2010 Long Term Incentive Plan ("LTIP") were exercised at an exercise price of 12.5 pence per share and 450 options under the Company's 2008 Discretionary Share Option Plan ("DSOP") were exercised at an exercise price of 1,892.5 pence per share. These notices for Mr John Guy Thompson were in respect of a total of 2,950 ordinary shares of 12.5p each ("Ordinary Shares") and these 2,950 Ordinary Shares were sold in the market at an average price of 2,055.83 pence per share. Following these transactions the shareholding of Mr John Guy Thompson is nil.

S&U plc has also received due notice of exercise in respect of options granted to members of its senior management under the Company's 2010 Long Term Incentive Plan ("LTIP"). The notices were in respect of a total of 6,000 ordinary shares of 12.5p each ("Ordinary Shares") at the exercise price of 12.5 pence per share. 3,500 of these Ordinary Shares were sold in the market at a price of 2,074 pence per share and 2,500 Ordinary Shares were retained by senior management.

In total, 8,950 Ordinary Shares were admitted to trading this week pursuant to an existing block listing, and will rank pari pasu with existing Ordinary Shares.

Total Voting Rights

Following the issue of these Ordinary Shares, the total number of voting rights in S&U is 11,985,659. This number (11,985,659) should be used by shareholders and other parties subject to disclosure obligations as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in the share capital of S&U under the FCA's Disclosure and Transparency rules.
