Result of General Meeting

Update on Potential Disposal

The Company confirms that at the General Meeting ("GM") held earlier today all resolutions were duly passed by shareholders. Full details of the voting are set out on the Company's website: https://www.rurelec.com/investors/proxy-results

Completion of the disposal of Rurelec's Argentinian Interests (as defined and detailed in the Company's announcement of 16 May 2023) is now only subject to the signing and filing of certain documents, including filings with the relevant Argentinian authorities. Accordingly, completion is anticipated to take place on or around 8 June 2023 ("Completion"). Further updates will be made at that time.

Following Completion the Company intends to pay a special dividend of 0.20p per share to shareholders on the register on a record date yet to be determined, the associated dividend timetable will be announced after Completion, in accordance with the Company's strategy to return capital to Shareholders.
