29/4/2019 17:00 | Ahem! I don't know if you've noticed, but the RPC horse has bolted. Shut the stable door on your way out. ;-) | jeffian
29/4/2019 16:52 | a bit too close to the mark eh? | phillis
29/4/2019 16:21 | as you seemed to post in close proximity with Whizzer you probably occupy the desk next to his? | phillis
29/4/2019 15:52 | Phillis I have only posted on RPC so by your flawed logic does that make me a stooge? There are statistics and damn lies but don’t let that influence you | budgiekevin
29/4/2019 15:27 | sorry April 16! I dont think his intentions were honorable LOL | phillis
29/4/2019 15:26 | It's still April! I'm sure you'll soon find someone else to have a go at Phillis. | bouleversee
29/4/2019 15:04 | I am a bit worried about Whizzer He hasnt been seen since April An analysis of his posts shows he has posted only about RPC since June 2018 A bit of a stooge I guess! | phillis
26/4/2019 20:17 | @jeffian Subject to all the regulatory clearances payment is entirely dependent upon the court date surely? D+2 for Effective date and payment 14 days after the Effective date. As to when the court date is I accept that is on hold as such until all approvals are in. But in order listed in the document we have EU, US, SA and Turkey approval. Waiting on China, Russian and Mexico. This was my reasoning on why I expect all to be settled sooner rather than later. | blueskier
26/4/2019 11:41 | Sorry, OW, my irony-detectors obviously failed there! Like you, I feel rather aggrieved that I have been forced to lose one of my long-term core holdings. | jeffian
26/4/2019 11:33 | Jeffian - thank you for your reply #3552 to my tongue in cheek comment regarding the effectiveness date. As a long term shareholder who had greater expectations for RPC's future, I (possibly wrongly) haven't indulged myself with the finer details of this deal, and will most probably await payout rather than sell early. | old_wheels
26/4/2019 10:44 | blueskier, You're missing my point. I wasn't querying whether the deal will go through - it's a done deal - I was responding to your #3553 concerning timing. The timetable for getting paid isn't dependent on the Court Sanction Hearing, which as you say is a formality, but on getting all the regulatory clearances and meeting any other conditions set out in Part 3 of the document. Those continuing to hold will get their money July earliest and 15 October latest. | jeffian
26/4/2019 09:50 | Where is Whizzer? He usually knows what is going on ...... | phillis
26/4/2019 08:21 | blueskier the court will approve it. It’s the various competition authorities who could derail it as in the case earlier this week in the case of Sainsbury/Asda. Having said that the EU have cleared it already so the key one left is the USA and if Berry don’t know their home market they should be shot. | budgiekevin
26/4/2019 03:34 | From the previous takeover from BPI to RPC i believe this is just a rubber stamping exercise. All the anti trust and monopoly commission criteria are just formalities. @jeffian i am not a gambling man but would put my mortgage on this. The board recommend it, 80% plus of shareholders voted for it. Several markets have given their approval. What realistic grounds do you envisage that a court (who really dont give a flying) wouldnt sanction the takeover? | blueskier
26/4/2019 00:35 | blueskier, It isn't the 10 minutes in Court rubber-stamping, it's the meeting of all the Conditions prior to going back to Court (see Part 3 of the offer document). | jeffian
26/4/2019 00:33 | "all being well and above board", well, they've had long enough now to find out. Either the NT concerns were justified or not. Not sure what's being going on here. Still holding. | cheshire pete
26/4/2019 00:17 | I find that even predicting early Q3 for the court sanction quite pessimistic. These require about ten minutes of court time and is effectively a rubber stamp exercise (all being well and above board). So i would expect to receive the cash in July sometime. | blueskier
25/4/2019 23:19 | That's not going to happen! "If any dividend and/or other form of capital return or distribution is announced, declared, made or paid by RPC in respect of RPC Shares prior to the Effective Date, the Consideration payable in respect of each RPC Share under the Acquisition will be reduced by the amount of all or part of any such dividend and/or other form of capital return or distribution (although RPC Shareholders will be entitled to receive and retain that dividend (or other distribution))." | jeffian
25/4/2019 23:12 | I'm sure we will be paid-out by early August at the latest, unless RPC intend to pay us a final dividend!! | old_wheels
25/4/2019 12:29 | Like Jefian, I too sold, for the same reasons at 789p | bottletop1
25/4/2019 11:57 | As mine are in an ISA and I've already got a lot of cash in there I don't know what to do with, I think I'll just hang on. | bouleversee
25/4/2019 11:19 | TY. I think I'll sell also. | nocton
25/4/2019 10:20 | The Court Sanction Hearing which triggers completion of the deal and payment of shareholders is due to be held "early in the third Quarter" with payment no more than 16 days after that, so earliest mid-late July and 'longstop' date is 15 October. I actually sold a chunk of mine in the market yesterday at 789p as I have other uses for the cash which are more interesting than holding this for months for another 4p. | jeffian |
