Danbfc I am sure I read in the offer that if RPC makes a distribution in the period between the offer and the deal going through, assuming it does, then the offer price will be reduced. In other words it is the shareholders company at present but potentially all current profits are accruing to the buyer.

I understand that Berry's takeover date will be in the third quarter. Have Berry committed to paying the "August" final dividend in addition to the 793p offer?

Well there's plenty of like-minded shareholders here! (but I accept that PI's alone are unlikely to swing it and it will require institutional shareholders to resist the current offer).

I know it's over optimistic and a bit late in the day, and certainly in view of Berry's final offer statement, but Elliott still could find like-minded shareholders and threaten to block the deal unless more cash is produced. Don't forget, Berry still needs 75% of RPC investors to approve the offer to get it over the line.

Yes.

As ever, the outcome is entirely in the hands of the institutions and I'm not particularly hopeful that they will resist this rather miserly offer. The largest holder, Standard Life, started this process by pretty well publicly inviting offers and also signalled that the acquisition strategy was compromised both by the Northern Trust accounting innuendos and the consequent low share price, so they must be minded to take the money and run. If the bid fails, the share price will undoubtedly suffer in the short term and with Management's growth-by-acquisition strategy blown out of the water, where would they go from here?

Like Phillis, I'm trying to see this as a win/win where either we soldier on as we were, or we get forced to take the cash and move on.

HL haven't got their act together yet. Up until yesterday, it was still showing the Apollo bid. Today it just says "No corporate actions available". Anyway, plenty of time.
