looks like Berry will have to cough up more to secure this ... if the majority aren't selling at £7.96, they are unlikely to sell at £7.93.

Yes, I get those from Investigate but usually delete them. Once in a while I go onto RPC's website and look at a few which is quicker, but as you say, just too many.

I'd say the price in the market is suggesting it thinks there might be a higher bid coming - presumably from Berry to get the deal through, but who knows? We still have quite a while to go before the intended completion and it just seems a bit too close to the full offer price at this stage in the process.

Why? Because I am an idiot and not as observant as you; well spotted! I assumed it was Berry who was releasing them which I couldn't understand. However, Apollo have nothing to lose since they are out of the picture, presumably. All a bit over my ancient head but I am trying to keep up.

It lists the many daily disclosable transactions in Rpc shares.
There are far too many to keep up with.

Does anyone read all the notices? I confess I don't have time (it would help if RPC provided links that could be clicked on like other companies do) but the ones I have looked at have all been sales rather than purchases. Perhaps Berry plan to buy the directors' shares.

I wonder how many instis. are left since some of them sold after the Apollo offer.

All #3332 says is these two have been (part) released from undertakings wrt the Apollo bid. Are there such undertakings within the Berry bid?

Why do you say 'Berry must be very confident'?

The interesting element will be how sold (open market?), and at what price. To whom could be interesting too, but I doubt we will get that visibility.

The additional information on the "Irrevocable Undertakings", is irrelevant to the piece.
The weasel 'excuses' given for the substantial sales is a slap in the face to existing shareholders.

I have a paper copy setting out the Berry bid that dropped on my doormat a few days ago.

The offer announcement was made on 8th March. They have 28 days to produce the scheme document which will include a timetable so this means by 5th April.

Meanwhile the share price has risen to close to the proposed figure and indeed marginally above at one stage this morning. As I have said before all will depend on the attitude of the institutions. I am not sure what the rise implies but perhaps we can hope they are making "Oliver Twist" noises.


I guess there are two main types of institution -


The long term investors some of whom were uncomfortable with the repeated cash calls

and


The financial companies who appear to have picked up quite a bit of stock.


It will be fascinating to see what acceptances appear in the scheme document.

redartbemud left out the following which was included in the statement:

"On 23 January 2019, in connection with the final cash offer for RPC by Rome UK Bidco Limited ("Rome Bidco"), Rome Bidco received irrevocable undertakings from each of Pim and Simon in respect of the shares held by them (and their close relatives) to vote (or to use their reasonable endeavours to procure votes) in favour of Rome Bidco's offer and not to sell or transfer any RPC shares held by them (the "Irrevocable Undertakings"). On 19 March 2019, Rome Bidco agreed to release 240,000 RPC shares beneficially held by Pim and 65,000 RPC shares beneficially held by Simon from the Irrevocable Undertakings. The Irrevocable Undertakings continue to apply in respect of 200,000 retained RPC shares beneficially held by Pim, 28,151 retained RPC shares beneficially held by Simon and all the RPC shares held by Simon's close relatives listed in his Irrevocable Undertaking. For the purposes of Rule 2.10(c) of the Code, Rome Bidco has consented to the release of this announcement."


Berry must be very confident of getting a yes vote and that nobody else is on the horizon with a better offer. However, the share price is now below the offer price so what is going on here? What took the price up first thing today?

P.S. Just clocked that they haven't actually sold yet, just declared their intention to do so tomorrow or later, which I also find very strange. Sounds as though they want to drive the price down. Why? Reculer pour mieux sauter?

Strange I didn't receive an RNS on that.

So why did the share price go up rather than down on that news? And why haven't the offer docs. been issued yet? Could it be that the directors know something we don't know, i.e. that Berry are not going to go through with it so they are cashing in at the higher price before it collapses. Something very fishy here.

RPC Group plc ("RPC") has been notified by Pim Vervaat, Chief Executive Officer, that he intends on or after 21 March 2019 to sell 240,000 ordinary shares in the capital of RPC. Pim intends to use part of the proceeds of the sale to satisfy payment of capital gains tax in the Netherlands, to possibly finance a residential property purchase and to diversify his portfolio exposure. Following the share sale, Pim will retain 200,000 RPC shares.



RPC has also been notified by Simon Kesterton, Group Finance Director, that he intends on or after 21 March 2019 to sell 65,000 ordinary shares in the capital of RPC. Simon intends to use the proceeds to diversify his portfolio exposure and to pay down debt. Following the share sale, Simon (when taken together with his close relatives) will retain 110,592 RPC shares.


Big vote of confidence for the Company and the Berry deal:-(

I don't know why you want to link us to a disclaimer. I have their regulatory announcements in my favourites and as I said there is nothing new since the original announcement on March 8 apart from a couple of things about pensions. What exactly are you trying to link us to? There is nothing to say the offer docs. have been sent and they are not visible on the website.
