Rotala sees improved H1 after FY pretax loss narrows LONDON (Thomson Financial) - Rotala Plc. posted a narrowed full-year pretax loss on a "near break even performance" in the second half, and said it expects continued year-on-year improvement in the first half of the year. The bus services company's pretax loss for the year to Nov. 30, 2008, narrowed to 1.1 million pounds from 2.8 million a year earlier, while turnover rose 20 percent to 19.4 million pounds. Chairman John Gunn said in a statement he looked "forward to being able to report further successes" in his next annual report. Rotala said new contracts signed during the year will generate 5.7 million pounds in revenue in the full year, but as these contracts had staggered starts, their full benefit will only come in 2008. It also said the integration of the Diamond Bus operation, acquired in February, is progressing very well and the group is confident that the business will make a positive contribution to profits for 2008.

Rotala places further 225,000 stg loan notes to directors LONDON (Thomson Financial) - Rotala PLC said it has placed its remainder commitments amounting to 615,000 stg through the issue of 225,000 stg of loan notes, and the issue of ordinary shares and warrants to the investors including managing director Simon Dunn and other directors Robert Dunn, and Scott Dunn. The company said that Robert Dunn, Simon Dunn and Scott Dunn have, in aggregate, subscribed for 655,462 new ordinary shares at an issue price of 59.5 pence each for an aggregate investment of around 390,000 stg. The notes will pay interest semi-annually in arrears on June 30 and Dec 31 at a rate of 8 pct annually, with the first payment starting from the issue of the loan notes to June 30, 2008. On March 3, 2008, the company announced a placing of loan notes and a proposed placing of ordinary shares to raise 3.8 mln stg in aggregate. Of this amount 1.4 mln stg was in the form of commitments from directors and other investors. On March 5, 2008, the company said that it had placed 815,000 stg of these commitments with directors and other investors. In a separate release, the company said that Rotala's capital consists of 21.010 mln ordinary shares of 25p each and it does not hold any ordinary shares in treasury. Therefore, the total number of voting rights in Rotala plc is 21.010 mln, the company said.

ROL seem to be making good progress with consolidating smaler operators in to a larger more frofitable operation: "The acquisition of GWM provides Rotala with a significant expansion of its activities in the Birmingham conurbation and makes the Company the second largest provider of bus services in the market covered by the West Midlands Passenger Transport Executive." .... "The Board now expects results for the current financial year to be ahead of market expectations."

"The Placing of £250,000 of Loan Notes has been subscribed wholly by Ludgate Investments Limited ("Ludgate"), a company of which John Gunn, Chairman of Rotala, is deputy chairman and in which he has a shareholding interest."
