Return of capital and issue of B Shares
Rockrose Energy plc (LSE: RRE) (the "Company") announces that the allotment and issue of the B Shares relating to its return of capital will occur today.
No application has been, or will be, made to the UK Listing Authority or to the London Stock Exchange, respectively, for any of the B Shares to be admitted to listing on the standard segment of the Official List or to trading on the London Stock Exchange plc's main market for listed securities, nor will the B Shares be listed or admitted to trading on any other recognised investment exchange.
No share certificates will be issued in respect of the B Shares and no CREST accounts will be credited with B Shares.
Assuming there is no extraordinary change in the position of the Company or market conditions generally, the Company intends that the B Shares will be redeemed for 150 pence per B Share tomorrow, 16 February 2018. It is expected that Shareholders entitled to receive payments in respect of the proceeds of the redemption of the B Shares will receive payment on or around 23 February 2018.
Terms used in this announcement but which are not otherwise defined shall have the same meanings as set out in the circular of the Company published on 26 January 2018.
