NOTIFICATION OF TRANSACTIONS OF
PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMRs")
AND OF PERSONS CLOSELY ASSOCIATED ("PCAs")
PDMR Shareholding
The Company announces that on 13 March 2018 Mr James John Berry, a PDMR of the Company, transferred 7,320 ordinary shares of 0.003 pence each ('Ordinary Shares') to his Individual Savings Account ('ISA'). This transfer resulted in no change in the beneficial ownership by Mr Berry of the Ordinary Shares of the Company.
PCA Shareholding
The Company further announces that on 13 March 2018, Mrs Karen S Berry (PCA to Mr Berry) transferred 6,690 Ordinary Shares to her ISA. Mrs Berry also transferred 908 Ordinary Shares to her Self-Invested Personal Pension. These transfers resulted in no change in the beneficial ownership by Mrs Berry of the Ordinary Shares of the Company.
PCA gifts to children
Mrs Berry, on the same day, gifted 4,364 Ordinary Shares to each of her two children, resulting in a total of 8,728 Ordinary Shares being gifted by Mrs Berry.
Following the above PDMR and PCA shareholding transfers and the gifts, Mr Berry holds 1,650,619 Ordinary Shares and Mrs Berry holds 551,272 Ordinary Shares in the Company. In aggregate, Mr Berry and Mrs Berry hold 2,201,891 Ordinary Shares in the Company representing approximately 2.68% of the total shareholding in the Company.
Formal notification in respect of the PDMR is set out below in accordance with the requirements of the Market Abuse Regulation.
