Not much in the way of posts...

"400 mln shares at 0.75 pence per share to finance the new business. The placing, which will raise 2.695 mln stg, will provide additional working
capital for the next 12 months."

IMO, much better to have raised more money without such a volume of shares. What happens in 12 months? Further dilutions? More money to burn?
Seen so many of this Bio companies raising money and coming back the markets for more...Why pay 4-5p when 0.75p is the sp?

come on someone tell me whats so good about this deal?

hi - i've been looking at this one this morning, following the piece in the Daily Mail. I don't know if anyone can help answer a question about tonabersat - I notice that the patent is held by SB, and that a milestone payment of £5m would be due on initiation of Phase III trials. As I understand it, Biopartners have not yet started Phase II trials with this compound, so there is a long way to go before that milestone payment would be due -- Is this correct? The other thing I notice is that Paul Sharpe is a medical doctor, not a PhD. So I'm not too convinced about his scientific credentials - he would have no expertise, that I can tell, in biopharmaceutical research. There are a few published articles I could find about tonabersat - which might be used to support 'proof of concept', but there doesn't seem to be any overwhelming evidence, at this point, that the compound is likely to be effective in treatment.

Any views from anyone who's been following this for longer than me (i.e, three hours).

Coz we all new it was going to happen so no great surprise! The papers will get hold of it tomorrow and over the weekend but these new shares will take a bit of digesting. Should find a level then steady progress from there....

I have just a few of these prior to new listing...was going to add but this bit doesn't inspire me, tell me I'm wrong, but 400million shares and possibly further dilution doesn't look that fantastic in the medium term...

"the Company may need to raise further funds after this period in order to implement fully its business plan and, in due course, to satisfy the milestone payments under the licences. Milestone payments may be funded wholly or in part by partnering arrangements or by other external funding methods including the issue of further Ordinary Shares."

Taken from Geoff Foster's column in the Daily Mail today 27th January 2005....

DEALINGS in Aim-quoted RII resume today at 3⅞p following the reverse takeover of BioPartners. Buyers should be all over it like a rash because Bio Partners has rights to two potential blockbuster drugs that were spun out of Glaxo at the time of its merger with SmithKlineBeecham. Tonabasat, a migraine drug, is expected to enter Phase III shortly. The other is a treatment for schizophrenia due to finish Phase II trials this year.

Notice of Extraordinary General Meeting

Application has been made to the London Stock Exchange for all the Ordinary
Shares in issue following approval of the Proposals by the RII Shareholders and the waiver by the Panel on Takeovers and Mergers of any requirement for a general offer to be made under Rule 9 of the City Code on Takeover and Mergers to be admitted to trading on AIM. It is expected that Admission of the Ordinary Shares will become effective and dealings will commence in such shares on 25 February 2005. CREST accounts of placees, whose shares are held via that system, will be credited on Admission and certificates
in respect of other placees will be sent to them within 21 days thereof.

Thanks, I hear you - just not very familiar with what normally happens / or likely scenario in a reverse takeover / how it is likely to affect existing rii shareholders etc.. etc..etc..

If I did, it would put me in a more comfortable position re what to do when it does happen - "the suspense is killing me!"

Could it be Rosetta Inpharmatics LLC, a wholly owned subsidiary of Merck & Co? That company uses a web address of www.rii.com . It was brought by Merck in 2001, perhaps they now want to spin in out on AIM?
